Item 7. Management's Discussion and Analysis of Financial Condition and Results of
Operations
Non-GAAP Financial Performance Measures, page 57
3.We note your reconciliation of Net income (loss) to Adjusted net income (loss) and to
adjusted EBITDA. Please revise to clearly describe the nature and composition of the
underlying adjustments in the “Other adjustments” reconciling line item for each year
presented. Refer to Question 100.05 of the Compliance and Disclosure Interpretations
on Non-GAAP Financial Measures.
4.We note you include a reconciling item titled "Inventory adjustments and write-
downs" to derive Adjusted EBITDA. Please tell us how you concluded that inventory
adjustments and write-downs are not a normal recurring operating expense of your
operations. Refer to Question 100.01 of the Compliance and Disclosure
Interpretations on Non-GAAP Financial Measures.
Form 10-Q for the Fiscal Quarter Ended March 31, 2025
Non-GAAP Financial Performance Measures, page 38
5.We note you include a reconciling item titled "Acquired inventory purchase price" to
derive Adjusted net income (loss) and Adjusted EBITDA. However, it appears that
this adjustment eliminates the impact of GAAP purchase accounting and substitutes
individually tailored recognition and measurement methods. Please revise to remove
this adjustment or explain to us why you believe this adjustment is appropriate. Refer
to Question 100.04 of the Compliance and Disclosure Interpretations on Non-GAAP
Financial Measures.
We remind you that the company and its management are responsible for the accuracy
and adequacy of their disclosures, notwithstanding any review, comments, action or absence
of action by the staff.
