(the “Company”), we are hereby responding to the letter dated July 21, 2023 (the “Seventh Comment Letter”) from the staff (the “Staff”) of the Securities and Exchange Commission (“SEC” or the “Commission”), regarding the Company’s Amendment No. 6 to Registration Statement on Form S-4 filed July 5, 2023 (the “Registration Statement”). In response to the Seventh Comment Letter and to update certain information in the Registration Statement, the Company is submitting its Amendment No. 7 to the Registration Statement (the “Amended Registration Statement”) with the Commission today.

Response: The Amended Registration Statement has been revised on page 14 to incorporate the table disclosing the Equity Value Per Share at each redemption level, which was inadvertently omitted from the Registration Statement.

Response: The Amended Registration Statement has been revised on pages 75 and 77 to add two new risk factors titled “There can be no assurance that New OneMedNet common stock and Public Warrants that will be issued in connection with the Business Combination will be approved for listing on Nasdaq or, if approved, will continue to be so listed following the closing of the Business Combination, or that we will be able to comply with the continued listing standards of Nasdaq. New OneMedNet’s failure to meet the continued listing requirements of Nasdaq could result in a delisting of its Securities” and “Penny stocks are generally considered to be high-risk investments.
