Amendment No. 2 to Draft Registration Statement on Form S-1 Relationship With and Separation From Society Pass, page 5 1.We note your revised disclosure in response to comment 5 that the Company and Society Pass are not parties to any support agreement, tax sharing arrangement, registration rights agreement or other written agreement. Please disclose the separation and reorganization transactions that you have undertaken or will enter into with Society Pass in order to transfer the assets and liabilities of its online travel agency business to you.

This statement implies that online advertising revenue can also be recognized "at a point in time" upon relevant performance obligations are being fulfilled. Please reconcile these statements and revise your disclosure, as necessary. Please update your disclosure in Note 9 to reflect such designation.
