1. We note your response to prior comment 2 and reissue in part. Please revise your disclosure to state specifically that you are not a Hong Kong/PRC operating company but a Nevada holding company with operations in Hong Kong and that this structure involves unique risks to investors. Further, revise your disclosure to state directly that PRC regulatory authorities could disallow this structure, which would likely result in a material change in your operations and/or a material change in the value of the securities you are registering for sale, including that it could cause the value of such securities to significantly decline or become worthless. We note the cross-reference to your detailed discussion of the risks facing the company, including the risk factor beginning "All of our operations are in Hong Kong, a special administrative region of the PRC... ."

Response: In response to the Staff’s comment, the Company advises the Staff that the Company has disclosed on the cover page of the Registration Statement that Chinese regulatory authorities could disallow this structure, which would likely result in a material change in our operations and/or a material change in the value of the securities we have listed, which could cause the value of such securities to significantly decline or become worthless, and has disclosed detailed discussion in the risk factor “Risks Relating to Doing Business in Hong Kong — PRC regulatory authorities could disallow our holding company structure”.
