Filed
November 17, 2020
Dear
Ms. Walsh and Mr. Krikorian,
We
have reviewed your comment letter, dated December 14, 2020, and have made the requested adjustments. Below is a detailed response
to your letter and an amended Offering Circular has concurrently been filed.
1.
In response to the Staff´s comment, the Company has adjusted the estimated price range lowering the upper end of the range
to $.20 so that even upon the maximum issuance of shares the offering would not exceed the Tier 2 limit of $50,000,000.
2.
In response to the Staff´s comment, the Company has added the following statement to the plan of distribution: non-cash
consideration received by the Company shall be valued according to the Note to Rule 251(a)(1) of Regulation A.
3.
In response to the Staff´s comment, the Company has noted that proceeds may be used to pay accrued salary of the Company’s
CEO.
4.
In response to the Staff´s comment, a risk factor has been added at the end of the Risk Factor section of the offering circular
regarding the exclusive forum provision and a jury trial waiver provision of the subscription agreement and the subscription agreement
itself has been updated to clarify that the waiver does not limit or change a subscriber’s rights under the federal securities
laws.
5.
In response to the Staff´s comment, the narrative discussion of the financial statements contained in the Offering Circular
and the financial statements have been reconciled.
6.
In response to the Staff´s comment, the biographies of the officers and directors have been updated.
7.
In response to the Staff´s comment, a voting section has been added to the description of securities section of this offering
circular . For the avoidance of doubt, non-voting common stock is not being issued in this offering and has not been issued by
the Company to date.
Please
let us know if you require anything further to complete our filing. Thank you for your attention.

Dear Mr. Kaplan:
We have reviewed your amended registration statement and have the following
comments. In some of our comments, we may ask you to provide us with information so we
may better understand your disclosure.
Please respond to this letter by amending your registration statement and providing the
requested information. If you do not believe our comments apply to your facts and
circumstances or do not believe an amendment is appropriate, please tell us why in your

provide in response to these comments, we may have additional comments.
Amendment No. 1 to Offering Statement on Form 1-A Filed November 17, 2020
Cover Page
1.You disclose that you may sell up to 250 million shares at a price range of between
$0.02 and $2.00 per share. However, we note that if the offering were fully subscribed at
$2.00 per share, it would exceed the Tier 2 Regulation A threshold of $50 million. Please
revise.

2.We note that you may accept as stock consideration "promissory notes, services and/or
other consideration without notice to subscribers." Explain under "Distribution" what
"other consideration" is intended to cover and the process for the offer and acceptance of
non-cash consideration. Confirm through additional disclosure that you will value any
non-cash consideration according to the Note to Rule 251(a)(1) of Regulation A.
The Offering
Use of Proceeds, page 8
3.We note that your Chief Executive Officer's salary has been accrued but not paid. Please
clarify whether any of the proceeds will be used to compensate or otherwise make
payments to your officers or directors. Refer to Instruction 2 to Item 6 of Part II of the
Form 1-A.
Risk Factors, page 9
4.We note that Section 6 of the Subscription Agreement includes an exclusive forum
provision and a jury trial waiver provision for certain claims against you. Please add risk
factor disclosure regarding the two provisions and address, without limitation, how these
provisions may impact shareholder rights. Clarify whether the provisions apply to claims
under the federal securities laws. Include disclosure to state that by agreeing to the
provision, investors will not be deemed to have waived the company’s compliance with
the federal securities laws and the rules and regulations thereunder.
Management’s Discussion and Analysis of Financial Condition and Results of Operations, page
31
5.Please revise to ensure that the amounts included in narrative discussions of your results
of operation and financial position agree with the financial statements included in the
filing. For example, you indicate that net loss for the nine months ended September 30,
2020, was $60,951, although it appears that you reported net income for the period. We
also note, for example, that none of the amounts disclosed in your discussion of liquidity
and capital resources as of September 30, 2020 appear to reconcile to your interim balance
sheet. Please ensure that all amounts disclosed throughout your filing, such as in your
discussion of results of operations and liquidity and capital resources for the year ended
December 31, 2019 and within your Risk Factors discussion, are consistent with your
financial statements.
Management
Biographies, page 48
6.Please revise the business descriptions of Messrs. Benjamin Kaplan, Zeke Kaplan, and
Binyomin Posen to clarify the dates served in the positions mentioned and ensure that the
business description includes positions held during the past five years.

Offering Statement on Form 1-A
File No. 024-11336
Filed October 6, 2020
Dear Mr. Kaplan:
Our initial review of your offering statement indicates that it fails in numerous material
respects to comply with the requirements of Regulation A and Form 1-A. More specifically, your
financial statements do not meet the updating requirements of Part F/S of Form 1-A.

Amendment No. 1 to Registration Statement on Form F -1
Filed November 16, 2015
File No. 333 -207107
Dear Mr. Woodrow:
We have reviewed your amended registration statement and have the following
comments. In some of our comments, we may ask you to provide us with information so we
may better understand your disclosure. Unless otherwise noted, references in this letter to prior
comments refer to our letter dated October 21, 2015.
Please respond to this letter by ame nding your registration statement and providing the
requested information. If you do not believe our comments apply to your facts and
circumstances or do not believe an amendment is appropriate, please tell us why in your
response.
After reviewing any amendment to your registration statement and the information you
provide in response to these comments, we may have additional comments.
Fee Table
1. You revised the fee table to include common shares issuable upon the exercise of
warrants, which will be issued to each investor that purchases common stock. You do
not appear to be registering these warrants. Please tell us what exemption you rely upon
for the issuance of the warrants or revise your fee table to include the warrants. To the
extent you include the warrants in the fee table , file a form of warrant agreement for the
warrants that are issued with the common stock to be sold by you. In this regard, we note
that t he agreement included in exhibit 10.4 refers to securities that are not registered .

2. Regarding your response to prior comment 7, please tell us which part of the
supplemental data provides support for your statement that the cognitive assessment and
training market size is estimated at $2.4 billion in 2015.
Risk Factors, page 8
3. We note your response to prior comment 8; however, it is unclear without further
disclosure how David Lubin & Associates, PLLC intends to resolve conflicts that may
arise in situations where acting in your best interest conflicts with its obligations under
the escrow agreement, for example in the event of a dispute between you and a purchaser
over subscription proceeds held in escrow. It appears that risk factor disclosure
addressing risks relating to the dual roles of David Lubin as couns el to the company and
as escrow agent for this offering may be warranted. Please advise.
Development or assertions by us…, page 10
4. Regarding your response to prior comment 9 and consistent with the language in the last
sentence of the third paragraph on page 36, please further clarify your risk factor to state
that all the developed intellectual property belongs to the Hospital.
Dilution, page 26
5. Refer to prior comment 12 and further revise your disclosure to indicate the total cash
consideration paid by directors, senior management, and affiliated persons and the
amount to be paid under the proposed offering. To provide an appropriate comparison,
you should consider disclosing for both existing and new investors the total amount of
cash consideration paid, the number of shares received, and the average price per share.

9. Your legality opinion requires significant revision. Please file a legality opinion that
opines on whether each of the securities you intend to register will be legally issued, fully
paid, and non -assessable. Refer to section II.B.1.c of Staff Legal Bulletin No. 19
(October 14, 2011). If you are also registering warrants, you should note that counsel
must opine that the warrants ar e a binding obligation in accordance with II.B.1.f of Staff
Legal Bulletin No. 19. In addition, for shares to be offered by selling shareholders, the
opinion must state that shares are legally issued, fully paid, and non -assessable. Finally,
include any schedules referred to in your opinion.
Exhibit 10.19
10. The subscription agreement that you filed in response to prior comment 21 does not
include the warrants that are issued to investors of the common stock. Please advise or
file a subscription agreement that includes the warrants.

11. Please tell us how the escrow agreement complies with Exchange Act Rule 10b -9(a) to

1. The maximum amount of shares that you are offering, which consists of 11,002,445

2. In the paragraph beginning with “The selling shareholder…” you state that selling
shareholders may offer the shares “at varying prices” and tha t the prices will be
determined by “the prevailing market price….” Please revise to clarify that the selling
shareholders must sell at a fixed price unless and until quoted on the OTCQB. In this
regard, we note the paragraph immediately following.
