Filed August 6, 2012
File No. 000-25909
Dear Mr. Mancuso:
On behalf of Flux Power
Holdings, Inc. (the “Company”), we hereby respond to the Staff’s comment letter of August 17, 2012, issued in
connection with the Company’s Amendment No. 1 to Form 8-K, filed on August 6, 2012.
The following responses
are numbered to correspond to the questions set forth in the Staff’s comment letter. For the Staff’s convenience, the
Staff’s comments are indicated in italics followed by the Company’s response.
Marketing and Sales, page 16
1. We note your response to prior comment 5. With a view toward disclosure of any material disproportionate
reliance on the identified customers, please tell us the percentage of your revenues attributable to each individual customer for
each period provided.
Response: During the nine month
period ended March 31, 2012, the Company had four major customers that represented more than 10% of its revenues on an individual
basis, and combined represented 87% or $2,616,000 of its total revenues. The four major customers were Artisan Vehicle Systems,
which represented 35% of its total revenues, Epic Boats, which represented 11% of its total revenues, Greentech Automotive, which
represented 30% of its total revenues, and Wheego Electric Cars, which represented 11% of its total revenues.

During the nine month period ended March
31, 2011 the Company had two major customers that accounted for 37% or $216,000 of its total revenues. The two major customers
were Boulder Electric Vehicles, Inc., which represented 11% of its total revenues, and Epic Boats, which represented 26% of its
total revenues.
For the year ended June 30, 2011, Wheego
Electric Cars, Inc., which represented 32% of its total revenues, and Epic Boats, which represented 15% of its total revenues,
collectively accounted for 47% of total revenues, or $463,000.
For the eight month period ended June 30,
2010, the Company had four customers that combined accounted for 79% of total revenues, or $164,000. The four major customers were
APT Propulsion Systems, Inc., which represented 17% of total revenues, Dukes Garage, which represented 15% of total revenues, Epic
Boats, which represented 19% of total revenues, and Wheego Electric Cars, Inc., which represented 28% of total revenues.
Production Process, page 16
2. We note your response to prior comment 4 and your revised disclosure on page 15 indicating that
84% of your revenues for the nine months ended March 31, 2012 derived from battery sales. Please revise your disclosure describing
your production process to discuss the production of your batteries, including, as applicable, whether you rely on one or more
manufacturers, such as LHV Power, for production. Please also explain in greater detail the “flexibility in cell sourcing,”
which you reference on page 19.
Response: Pursuant to Staff’s
comment, the Company has revised its disclosure to describe the Company’s productions process of its batteries, including
any reliance on its manufacturers, in further detail on pages 17 and 18, and has explained in its statement relating to “flexibility
in cell sourcing” on page 20.
3. We note your revisions in response to prior comment 6 with respect to the term sheet agreement
with LHV Power. Reconcile your disclosure that the agreement remains in effect with the provision under the caption “Term
& Effective Date” in exhibit 10.7, which indicates that the term of the agreement could have been extended only for a
single one-year period following the initial expiration date of April 1, 2010. Also, please revise to clarify what you mean by
the statement that “the products defined in the term sheet were assigned to Current Ways” and what this means for the
parties’ obligations under the agreement. Finally, please revise the appropriate sections of your document to include the
information regarding the amounts paid under the agreement that had been included in your initial 8-K filing but was deleted from
page 51 in the amendment.
Response: Pursuant to Staff’s
comment, the Company has revised its disclosure on pages 17 and 50 to reflect that the agreement expired on April 1, 2011 and to
clarify that the agreement was assigned to Current Ways, Inc. on September 1, 2010. As the assignee, Current Ways, Inc. has assumed
the rights and obligations of LHV Power Corporation under the agreement. The revised disclosure clarifying the terms of the agreement
and rights obligations of Current Ways, Inc. and the Company has been provided on pages 17 and 50.

4. We note your response to prior comment 6 regarding disclosure of the portion of your sales attributable
to products manufactured by LHV Power; however, it does not appear that you have included this disclosure in your amended filing.
Please advise or revise.
Response: Pursuant to Staff’s
comment, the Company has revised its disclosure to include the portion of sales attributable to products manufactured by LHV Power
on page 18.
Suppliers, page 18
5. We refer to your response to prior comment 7. Although your response indicates that the supply
agreement with Global Fluid Power Solutions is non-exclusive and lacks minimum purchase requirements, you have not described the
terms that are included in the agreement or explained how the agreement governs the commercial relationship. Given your disclosure
that the supplier accounted for 53% and 79% of your supply purchases during the nine months ended March 31, 2012 and March 31,
2011, respectively, it therefore remains unclear how you concluded that the agreement is not a material agreement. Accordingly,
please expand your disclosure of the material terms of the agreement and file it as an exhibit or provide us with additional analysis
to support a conclusion that the agreement is not material.
Response: Pursuant to Staff’s
comment, the Company has revised its disclosure to explain the material terms of the commercial relationship between Global and
the Company on page 19. In addition, the Company has filed the vendor agreement with Global
as Exhibit 10.13.
Business Experience, page 44
6. We note your revisions in response to prior comment 12. Please expand your disclosure to describe
the nature of the businesses named in this section, such as Epic Boats, LLC, Esenjay Petroleum Corporation, Current Ways, Inc.,
and LHV Power Corporation, so investors have adequate information to evaluate the prior business experience of your directors and
executive officers.
Response: Pursuant to Staff’s
comment, the Company has revised its disclosure to describe the nature of business referenced on page 43 in greater detail.
Closing Comment
We believe the foregoing
addresses all of the Staff’s comments set forth in its comment letter dated August 17, 2012.

Form 10-QSB for the period ended March 31, 2008 File No. 000-25909
Dear Mr. Baird:
We have reviewed your filing and have the follo wing two sets of comments. We have limited
our review of your filing to the di sclosures pertaining to the evaluation of your internal control over
financial reporting and th e proper form type.
Specifically, with respect to internal control, we have reviewed your filing to determine if you
conducted the evaluation of your inte rnal control over financial report ing, as required by Exchange Act
Rules 13a-15 and 15d-15, and provided an assessment and a conclusion as to the effectiveness of your
internal control over financial reporting, as required by Item 308T(a ) of Regulation S-B. Where
indicated, we think you should revi se your document in response to these comments; however, if you
disagree, we would be pleased to co nsider your explanation as to why a revision is not necessary. Please
be as detailed as necessary in your explanation.
----------
1. Internal Control ov er Financial Reporting
It does not appear that your ma nagement has performed its assessm ent of internal control over
financial reporting as of December 31, 2007. Since you were required to file or filed an annual report
for the prior fiscal year, it a ppears you are required to report on your management’s assessment of
internal control ove r financial reporting.
Mr. Colin Baird
Australian Forest Industries July 21, 2008
Page 2 of 3
If your management has not yet performed its assessment, we ask that you complete your
evaluation and amend your filing wi thin 30 calendar days to provide the required management's report
on internal control over financial reporting.
In performing your evaluation, you may find the following documents helpful:
the Commission’s release Amendments to Rules Regarding Management’s Report on Internal
Control Over Financial Reporting (Securities Act Release 8809/ Financial Reporting Release
76). You can find this release at:
http://www.sec.gov/rules/final/2007/33-8809.pdf ;
the Commission’s release Commission Guidance Regarding Management’s Report on
Internal Control Over Financial Reporting Unde r Section 13(a) or 15 (d) of the Securities
Exchange Act of 1934 (Securities Act Release 8010/Financ ial Reporting Release 77). You
can find this release at http://sec.gov/rules /interp/2007/33-8810.pdf ; and
the “Sarbanes-Oxley Section 404 – A Guid e for Small Business” brochure at:
In addition, please consider whether management’s failure to perform or complete its report on
internal control over financial re porting impacts its conclusions rega rding the effectiveness of your
disclosure controls and procedures as of the end of the fiscal year covered by the report and revise your
disclosure as appropriate.
Please note that the failure to perform manage ment’s assessment adversely affects the company’s
and its shareholders ability to ava il themselves of rules and forms that are predicated on the current or
timely filing of Exchange Act reports. For further information regarding these impacts, please see Compliance and Disclosure Interp retation 115.02, which you can find at
http://www.sec.gov/divisions/corpf in/guidance/regs-kinterp.htm
.
2. Form Type
We note that your most recent quarterly re port for the period ending March 31, 2008 was on
Form 10-QSB and not Form 10-Q. Beginning February 4, 2008, companies formerly classified as “small business issuers” under Regula tion S-B must file their quarterly reports on Form 10-Q after they
have filed an annual report for a fiscal year ending after December 15, 2007. Although small business
issuers are now required to file on Form 10-Q, the di sclosure requirements for that form are now tailored
for smaller companies.
Although we are not asking you to correct your most recent filing just to reflect the proper form
type, we ask that you review your filing requirements and consider whether any action is necessary if
your most recently filed quarterly re port does not contain all required mate rial information. In any event,
you should file your next quart erly report on Form 10-Q.
Mr. Colin Baird
Australian Forest Industries July 21, 2008

Information about recent changes to rules a ffecting small business issuer form types and
disclosure and filing requirements is available on the SEC website at

changes, please feel free to contact the SEC’s Office of Small Business Policy at (202) 551-3460 or

Please understand that the purpose of our review process is to assist you in your compliance with
the applicable disclosure requirements and to enhance the overall disclosure in your filing. We look forward to working with you in these respects. We welcome any questions you may have about our
comments or any other aspect of our review. Feel free to call us at the telephone numbers listed at the
end of this letter. We urge all persons who are responsible for the accuracy and adequacy of the disclosure in the
filing to be certain that the filing includes all information required under the Securities Exchange Act of
1934 and that they have provided all information investors require for an informed investment decision.
Since the company and its management are in possessi on of all facts relating to a company’s disclosure,
they are responsible for the accuracy and adequa cy of the disclosures they have made.
In connection with responding to our comments, please provide, in writing, a statement from the company acknowledging that: the company is responsible for the adequacy and accuracy of the disclo sure in the filing;
staff comments or changes to disclosure in re sponse to staff comments do not foreclose the
Commission from taking any action with respect to the filing; and
the company may not assert staff comments as a defense in any proceeding initiated by the
Commission or any person under the federal securities laws of the United States.
In addition, please be advised th at the Division of Enforcement has access to all information you

our comments on your filing.

Dear Mr.
Humphrey:
This is
in response to your comment letter of April 8, 2008 to Michael Timms with
respect to the above-referenced filings. The numbered paragraphs
below provide answers and explanations to the corresponding numbered questions
and comments in your letter of April 8, 2008. In addition to
providing you with this letter, Australian Forest Industries (the “Company”)
is:
●
simultaneously
filing a current report on form 8-K/A,
and
●
providing
you, via Federal Express, with a copy of the current report on
form 8-K/A marked to show changes from the current report on form 8-K that
was filed on April 7, 2008.
Item 4.02 Non-Reliance on
Previously Issued Financial Statements or a Related Audit Report or Completed
Interim Review
1.
Refer to the last paragraph of your disclosure. We note that the
amended Form 10-KSB for the fiscal year ended December 31, 2005, as filed with
us on March 28, 2008, did contain an updated auditors’ report that references
the restated financial statements for the years ended December 31, 2005 and
2004. To the extent that your board of directors or authorized
officers did discuss the restatement matters disclosed in your Item 4.02 Form
8-K with your auditors, Meyler & Company, LLC, in order to enable them to
update their auditors’ report to make reference to the restated financial
statements, please amend the Item 4.02 Form 8-K in its entirety to disclose this
fact. We may have additional comments after review of your
response.
Our
authorized officer has discussed the matters disclosed in our Form 8-K filing of
April 7, 2008 with our independent registered accounting firm, Meyler
& Company, LLC, ("Meyler"), and a letter from them is enclosed
herein. On August 24, 2006, we forwarded to Meyler the comment letter
of August 8, 2006 from the Securities and Exchange Commission (the
“Commission”). On December 8, 2006, we forwarded financial
information to Meyler. During December of 2006, Meyler discussed the
restatement with our Chief Financial Officer and Director and completed
fieldwork in relation to the restatement. The report in connection
with the restated financials for the years ended December 31, 2005 and December
31, 2004 contains a duel date of December 29, 2006, which corresponds to Meyler
completing its fieldwork to prepare restated financial
statements. Meyler has agreed to review the unaudited financial
information to be included in the 2005 quarterly reports that we are
amending.
2.
Please provide the requested written representations as shown
below.
The
Company acknowledges the following:
·
the
Company is responsible for the adequacy and accuracy of the disclosure in
the filing;
·

Dear Ms.
Jenkins:
This is
in response to your comment letter of August 8, 2006 to Michael Timms with
respect to the above-referenced filings. The numbered paragraphs
below provide answers and explanations to the corresponding numbered questions
and comments in your letter of August 8, 2006. In addition to
providing you with this letter, Australian Forest Industries (the “Company”)
is”
●
simultaneously
filing Amendment No. 1 (the “Amended Annual Report”) to the Annual Report
on Form 10-KSB for the year ended December 31, 2005
and
●
providing
you with a copy of the Amended Annual Report marked to show changes from
the Annual Report on Form 10-KSB that was filed on May 19,
2006.
Form 10K for the Year Ended
December 31, 2005
1.
We
have confirmed with EDGAR Filer Support that the name change is
effective.
Item 6. Management’s
Discussion and Analysis; page 6
2.
We
have updated the Amended Annual Report to clarify that we earn revenue
from one product, Structural Radiata Pine Timber
(lumber). Sales are recorded when a customer is
invoiced. While we sold more timber in 2005 (68,000 m3) than in
2004 (48,000 m3), an approximate 13% decline in the selling price of
timber impacted our revenue.
3.
Our
Amended Annual Report has been modified to note that while the cost of
logs has remained constant, the quality of timber, which is measured by
the recovery of structural timber from a given log, has
declined. Additionally, direct and indirect labor costs have
increased 19.6% from 2004 to 2005.
4.
We
have expanded our discussion of liquidity and capital
resources. Historically, our major shareholder, Timbermans
Group Pty. Ltd. (“Timbermans Group”), has covered any shortfall in working
capital. As of December 31, 2005, there were no liabilities
associated with our working capital deficit that were past
due.

Audit Report, page

5.
The
date has been corrected and a reference to the restatement has been
incorporated into the opinion. Footnote A of the Notes to
Financial Statements has been expanded to include the disclosure required
by paragraph 37 of APB 20.
Balance Sheet
F-2
6.
The
receivable from related parties of $273,175 relates to the net effect of
transactions between the Company and Timbermans Group, which is the
Company’s majority shareholder. In 2004, the net cash advances
between the two entities were $613, 473 which was offset by the assignment
of the timber contract which was negotiated by the Timbermans
Group. We have further restated the financial statements to
offset the receivable against the amount due to the Timbermans Group
shareholders who advance funds to the company leaving a remaining balance
of $386,835 due to the Timbermans Group shareholders at December 31,
2004.
Consolidated Statement of
Operations
7.
We
reclassified part of the 2005 non-operating income section and included
the amortization of the gain on the sale and leaseback transaction in
operating income. See restatement Note K for explanation of
changes. The gain on disposal of assets relates to gains other
than the gain on the sale/leaseback of equipment and accordingly is
considered non-operating income.
Consolidated Statement of
Cash Flows
8.
We
have revised this statement based upon the changes discussed in item 7
above.
Statements of Changes in
Stockholders’ Equity, page F-5
9.
The
columns in the Edgar version have been aligned for the amended
filing.
10.
We
have expanded Note C to the Financial Statements to explain the $5,307,400
investment made by Timbermans Group in the Company in
2004.
Note A- Accounting Policies,

11.
We
have expanded the revenue recognition policy to include the criteria in
Staff Accounting Bulletin Topic

Note B-Variable Interest
Entities, page F-8
12.
In
2003, the Timbermans Group entered into an agreement with the Australian
Government for the right to harvest the last significant undeveloped pine
forest in Eastern Australia. It then borrowed money from a
group of investors and the National Australian bank to purchase a pine
sawmilling and timber facility to process the harvested lumber through the
Company. Both the Timbermans Group and the Company are under
common control. The Timbermans Group by itself cannot repay its
loans without financial support from the Company, and the Company will
absorb the losses of the activities and will receive any future
returns. All of the assets of Integrated Forest Products
including goodwill was pledged to secure the loan the Timbermans Group
made to purchase the Company. The common control Directors and
Officers guaranteed the loan. As such, we concluded that the
Timbermans Group is a variable interest entity and the Company is the
primary beneficiary and therefore must be consolidated in the financial
statements under FIN 46R.
Note E- Related party
Transactions, page F-9
13.
The
Timbermans Group paid cash for the Long-Term Log Supply
Contract. The disclosure was erroneously included under
operating. It is now included under
Investing.
Note F-Short Term Borrowing,
page F-10
14.
We
have expanded Note G to the Financial Statements to clarify the terms and
conditions of the $790,000 guarantee with the South Wales
government. Since this is a guarantee, amounts have been
recorded in the Financial
Statements.
15.
We
have disclosed the terms and conditions of all financial agreements in
Note G to the Financial Statements.
Note K-Sale-Leaseback
Transaction, page F-11
16.
We
have revised the disclosure and have restated the 2005 Financial Statement
to reflect the amortization of the gain over a 30 year period, the life of
the related assets as called for by SFAS
98.
Item 8, Change of
Accountants, page 9
17.
Disclosure
of the change in accountant as it appears in Item 8 of Form 10-K for the
year ended December 31, 2005, filed on May 19, 2005, satisfies all
disclosure requirements.
Item 8A, Disclosure Controls
and Procedures, page 9
18.
We
have added the following sentence to Item 8A, (a)(ii): “The Company's
management, including the CEO and CFO believe that our system of
disclosure controls and procedures provide reasonable assurance that
information required to be disclosed in our periodic reports filed under
the Exchange Act is, in fact, being
disclosed.”
Exhibits 31.1 and 31.2,
Section 302 Certifications
19.
We
have revised the revised certifications to conform with the language that
is required by Item 601(b)(31) of Regulation
S-B.
20.
We
are in the process of amending our quarterly report on Form 10-QSB for the
period ending March 31, 2005 and will file it shortly
hereafter. We intend to revise the certifications per your
instructions.
21.
We
are in the process of amending our quarterly report on Form 10-QSB for the
period ending March 31, 2005 and will file it shortly
hereafter. We intend to include the following statements in
Item 2 of that amended Form 10-QSB:

7. To the extent not disclosed in Note K, please provide a note to the financial statements to disclose the nature and components of other income. It appears that gains from the sale and leaseback transaction should be included in determining operating income. Please revise.

8. We note the line item “disposition of capital assets”. Please revise your disclosure so that the amount represents the cash proceeds received, and any gain or loss upon disposition is shown as a reconciling item with the operating section of the statement. We note that material disposal gains are shown on the statement of operations but not on the statement of cash flows.
Statements of Changes in Stockholders’ Equity, page F-5
9. The columns in the statements of changes in stockholders’ equity appear to be misaligned in the EDGAR version of your document. Please revise so that totals will foot and agree to the other financial statements.
10. Please provide a note to the financial statements explaining the ($5,307,400) due to Timbermans investment in the company during the year ended December 31, 2004, as disclosed in the statement of stockholders’ equity and cash flows.

11. Please revise the company’s revenue recognition policy in Note A to address each of the criteria in Staff Accounting Bulletin Topic 13:A:1. It is not clear why revenues would be recognized when products are shipped from the company’s facilities rather than when title passes to the ultimate customer upon delivery.
Note B – Variable Interest Entities, page F-8
12. Please tell us how you determined that Timbermans Group Pty. Ltd. is a variable interest entity as defined by FIN 46(R), and how you determined that Timbermans should be consolidated in your financial statements. We note your disclosure that Timbermans is a holding company that owns the majority of your common stock. Typically, a majority owner would consolidate the subsidiary in its financial statements, but the financial statements of the subsidiary would not consolidate the

majority owner. Please explain in detail how you evaluated FIN 46(R) to determine that Timbermans should be consolidated in your financial statements.
Note E – Related Party Transactions, page F-9
13. Please clarify in Note E whether the Timbermans Group (now consolidated with the registrant) paid cash to obtain the Long-Term Log Supply Contract. If the transaction was for cash, it appears the acquisition of the contract should be shown in the body of the statements of cash flow. If the transaction was non-cash, it should be listed in a separate schedule of non-cash investing and financing activities, and Note E should explain how and why the transaction was valued and recorded in the financial statements. Please revise.
Note F – Short Term Borrowing, page F-10
14. In the second paragraph, please explain the terms and conditions of the company’s $780,000 bank guarantee with the South Wales government and explain how the transaction is reflected in the financial statements.
15. Please disclose the terms and conditions of each of the instruments mentioned in the third and fourth paragraphs including the mortgage debentures, fixed charge over receivables, term deposit letter, master lease agreement, guarantee and indemnity, and letter of subordination.
Note K – Sale-Leaseback Transaction, page F-11
16. Please revise your disclosure to state the material terms of the sale-leaseback transaction, along with the accounting treatment for the transaction and the specific accounting literature on which this conclusion was based. File the agreements relating to the sale-leaseback transaction as material contract exhibits in accordance with Item 601 of Regulation S-B.
Item 8, Change of Accountants, page 9
17. It does not appear that you have filed an Item 4.01 Form 8-K to disclose the information specified in Item 304 of Regulation S-B regarding your January 2005 change of accountants from Michael Johnson & Co., LLC to Meyler & Company LLC. Please file the required disclosures as soon as possible.
Item 8A, Disclosure Controls and Procedures, page 9

Multi-Tech International, Inc. August 8, 2006 Page 5
18. We note your statement that “disclosure controls and procedures, no matter how well designed and implemented, can provide only reasonable assurance of achieving an entities disclosure objectives”. Please revise to state clearly, if true, that your disclosure controls and procedures are designed to provide reasonable
assurance of achieving their objectives and that your principal executive officer and principal financial officer concluded that your disclosure controls and procedures are, or are not, effective at that reasonable assurance level. In the alternative, remove the reference to the level of assurance of your disclosure controls and procedures. Please refer to Section II.F.4 of Management’s Reports on Internal Control Over Financial Reporting and Certif ication of Disclosure in Exchange Act
Periodic Reports, SEC Release No. 33-8238, available on our website at

Exhibits 31.1 and 31.2, Section 302 Certifications
19. We note multiple differences between the language of your certifications and the language that is required by Item 601(b)(31) of Regulation S-B. Please revise your
certifications accordingly. To the extent that additional disclosures are required to make the certifications accurate, provide such disclosures under Item 8A. Specifically, we note the following differences between your disclosure and the required language:
