Schedule 13D filed by Lawrence I. Rosen
Filed January 26, 2023
File No. 005-50369
Dear Lawrence I. Rosen:
We have reviewed the above-captioned filing, and have the following comments.
Please respond to this letter by amending the filing or by providing the requested
information. If a belief exists that our comments do not apply to your facts and circumstances or
that an amendment is inappropriate, please advise us why in a response letter.
After reviewing any amendment to the filing and any information provided in response to
these comments, we may have additional comments.
Schedule 13D filed January 26, 2023
General
1.We note the date of the event reported as requiring the filing of the Schedule 13D was
April 11, 2022. Rule 13d-1(a) of Regulation 13D-G requires the filing of a Schedule
13D within 10 days after the acquisition of more than five percent of a class of equity
securities specified in Rule 13d-1(i). Based on the reported April 11, 2022 event date, the
January 26, 2023 filing was not timely filed. Please advise us why the Schedule 13D was
not filed within the required 10 days after the acquisition.
2.We note the disclosure provided under Item 5(c) indicates that the appended Schedule A
provides a list of transactions in the shares of common stock that were effected "during
the past 60 days." This disclosure was consistent with the text of Item 5(c) of Schedule
13D, which requires beneficial owners reporting on Schedule 13D to provide a description
of "any transactions in the class of securities reported on that were effected during the past
sixty days...." Notwithstanding the unqualified references to the "past 60 days" in the both
the regulatory text and the corresponding narrative response to Item 5(c), the associated

Schedule A only provided a transaction history within the past 60 days of the date of the
purported event that required reporting. Please provide us with a legal analysis in support
of your apparent conclusion that the disclosure in Schedule A complies with Item 5(c).
Alternatively, please amend the Schedule 13D to include a description of transactions
effected during the past 60 days of the filing date.
We remind you that the filing persons are responsible for the accuracy and adequacy of
their disclosures, notwithstanding any review, comments, action or absence of action by the
staff.
Please direct any questions to Michael Killoy at (202) 551-7576 or Nicholas Panos at

RE: JAKKS Pacific, Inc.
Registration Statement on Form S-3
Filed September 6, 2019
File No. 333-233665
Dear Ms. Block and Ms. Nicholson:
On behalf of JAKKS Pacific, Inc. (the “Company”),
we have filed today Amendment No. 1 to the Registration Statement on Form S-3 of the Company (the “Amended Registration
Statement”) in response to the comments of the staff (the “Staff”) of the Division of Corporation
Finance, Office of Transportation and Leisure, of the U.S. Securities and Exchange Commission (the “Commission”)
received by letter dated September 23, 2019, concerning the Registration Statement on Form S-3 of the Company filed on September
6, 2019. The changes reflected in the Amended Registration Statement include those made in response to the Staff’s comments.
Set forth below are the Company’s
responses to the Staff’s comments. For your convenience, each comment provided is printed below in bold italics and is followed
by the Company’s response. All references in this letter to page numbers and sections correspond to the page numbers and
sections in the Amended Registration Statement, unless otherwise noted.
General
1. We note that you are registering the sale of 46,728,275 shares of common stock underlying convertible notes owned by Oasis
Investments II Master Fund Ltd. Given the size relative to the apparent number of shares outstanding held by non-affiliates, and
the nature of the offering, the transaction appears to be a primary offering. Please provide us with your legal analysis as to
why the transaction covered by the registration statement should be regarded as a secondary offering that is eligible to be made
on a delayed or continuous basis under Rule 415(a)(1)(i) of the Securities Act rather than a primary offering where the selling
shareholders are actually underwriters selling on behalf of the issuer. For guidance, please refer to Question 612.09 of the Securities
Act Rules Compliance and Disclosure Interpretations. In addition, to the extent that the transaction is a primary offering, please
tell us why you believe you are eligible to register this transaction as a primary offering on Form S-3.
U.S. Securities and Exchange Commission

Response: The Company respectfully acknowledges
the Staff’s comment. For the reasons set forth below, the Company respectfully submits that the offering contemplated by
the Amended Registration Statement is a valid secondary offering by or on behalf of Oasis Investments II Master Fund Ltd (“Oasis”)
of shares of the Company’s common stock that may be registered for resale on a continuous basis pursuant to Rule 415(a)(1)(i)
of the Securities Act of 1933, as amended (the “Securities Act”).
In making this determination, the Company analyzed,
among other factors, the guidance set forth in Securities Act Rules Compliance and Disclosure Interpretations, Question 612.09
(“Interpretation 612.09”), which identifies six factors to be considered in determining whether a purported
secondary offering is really a primary offering. Interpretation 612.19 states in relevant part:
“It is important to identify whether a purported
secondary offering is really a primary offering, i.e., the selling shareholders are actually underwriters selling on behalf of
an issuer. Underwriter status may involve additional disclosure, including an acknowledgment of the seller’s prospectus delivery
requirements. In an offering involving Rule 415 or Form S-3, if the offering is deemed to be on behalf of the issuer, the Rule
and Form in some cases will be unavailable (e.g., because of the Form S-3 “public float” test for a primary offering,
or because Rule 415(a)(1)(i) is available for secondary offerings, but primary offerings must meet the requirements of one of the
other subsections of Rule 415). The question of whether an offering styled a secondary one is really on behalf of the issuer is
a difficult factual one, not merely a question of who receives the proceeds. Consideration should be given to how long the selling
shareholders have held the shares, the circumstances under which they received them, their relationship to the issuer, the amount
of shares involved, whether the sellers are in the business of underwriting securities, and finally, whether under all the circumstances
it appears that the seller is acting as a conduit for the issuer.”
Based on the Company’s consideration of the
totality of the facts and circumstances of the exchange transaction and each of the factors enumerated in Interpretation 612.09,
the Company believes that the shares of common stock that the Company is proposing to register for resale by Oasis (the “Shares”)
are eligible for registration on a delayed or continuous basis pursuant to Rule 415(a)(1)(i) of the Securities Act.
U.S. Securities and Exchange Commission
October 8, 2019
Page 3
Factor 1: How long Oasis has held the securities.
The convertible notes issued to Oasis were issued in exchange for securities already held by Oasis, the majority of which were
acquired in 2017. Pursuant to the Transaction Agreement, dated as of August 7, 2019 (the “Transaction Agreement”),
by and among the Company, certain of the Company’s affiliates and subsidiaries, Oasis and the other parties thereto, the
Company issued to Oasis on August 9, 2019 (i) amended and restated notes in exchange for the $21,550,000 aggregate principal amount
3.25% Convertible Senior Note previously issued to Oasis on November 7, 2017 and the $8,000,000 aggregate principal amount 3.25%
Convertible Senior Note previously issued to Oasis on July 26, 2018 (together, the “Existing Oasis Notes”) and
(ii) a new $8,000,000 Convertible Senior Note having the same terms as such amended and restated notes in exchange for the $7,250,000
aggregate principal amount 4.875% Convertible Senior Note acquired by Oasis in 2015 (collectively with the Existing Oasis Notes,
the “New Oasis Notes”).
Oasis participated in the exchange transaction with
the knowledge that it might not be able to exit its position at a profit, and that its ability to fully exit its position would
likely be restricted for an extended period of time, providing evidence that Oasis acquired such Securities with the intent to
invest (and not with the intent to effect a distribution, as an underwriter would have).Oasis is currently carrying all of the
investment risk associated with the New Oasis Notes (and, together with the underlying Shares, the “Securities”),
and will continue to bear this investment risk for potentially a substantial period of time before it can make resales of such
securities, because the conversion price of the New Oasis Notes is currently “out-of-the-money” when compared with
the current market price of the common stock and the trading volume of the Company’s common stock is low. Following the issuance
of the New Oasis Notes, (i) the highest closing sale price reported during that period was $0.89, which
is lower than the initial conversion price of the New Oasis Notes of $1.00, and (ii) the trading volume of the Company’s
common stock has not exceeded 364,500 shares on September 5, 2019, with a daily average trading volume of 54,874 shares. The Company
believes that the low trading price and low trading volume support the assertion that Oasis acquired the Securities for investment.
This assertion is further supported by the history
of investment that Oasis has made in the Company, which includes the Existing Oasis Notes issued in 2017 and 2018 that Oasis continued
to hold as an investment until the exchange transaction. Pursuant to the Registration Rights Agreements, dated as of November 7,
2017 and July 25, 2018 (the “Prior Registration Rights Agreements”), by and between the Company and Oasis, in
connection with the Existing Oasis Notes, the Company filed its prior Registration Statement on Form S-3 filed on December 7, 2017
(as amended by the Amendment No. 1 to Registration Statement filed on January 3, 2018, the “Prior Registration Statement”)).
Oasis never converted or resold the Existing Oasis Notes pursuant to the Prior Registration Statement.
The facts discussed above support the conclusion that
the offering pursuant to this prospectus is a valid secondary offering.
U.S. Securities and Exchange Commission
October 8, 2019
Page 4
Factor 2: The circumstances under which
Oasis received the Securities. The New Oasis Notes were issued to Oasis in an arm’s-length private exchange transaction.
The Amended Registration Statement is filed by the Company to comply with its obligations under the Amended and Restated Registration
Rights Agreement, dated as of August 9, 2019 (the “Registration Rights Agreement”), by and between the Company
and Oasis. The New Oasis Notes were issued, in part, in exchange for the Existing Oasis Notes issued in 2017 and 2018, which Oasis
never converted or resold pursuant to the Prior Registration Statement. The Prior Registration Statement was filed pursuant to
the Prior Registration Rights Agreements. The Company did not enter into the Registration Rights Agreement or the Prior Registration
Rights Agreement for the purposes of conducting an indirect primary offering. The Company did not and will not pay commissions
or fees to Oasis and will not receive proceeds from the resale of the common stock.
In the Transaction Agreement, Oasis made representations
to the Company, including that it (i) was either (x) a “qualified institutional buyer,” or QIB, as that term is defined
in Rule 144A under the Securities Act or (y) an “accredited investor” as defined in Rule 501(a) under the Securities
Act and (ii) had such knowledge and experience in financial and business matters and in investments of this type that it was capable
of making an informed investment decision and has so evaluated the merits and risks of such investment. The Company is neither
aware of any evidence that would indicate that these representations were false nor aware of any evidence that Oasis has any plan
to act in concert with a third party to effect a distribution of the Shares.
In addition, the Company is not aware of any evidence
that would indicate that a distribution would occur if the Amended Registration Statement is declared effective. Under the Commission’s
rules, a “distribution” requires special selling efforts. Rule 100(b) of Regulation M defines a “distribution”
as “an offering of securities, whether or not subject to registration under the Securities Act, that is distinguished from
ordinary trading transactions by the magnitude of the offering and the presence of special selling efforts and selling methods.”
The Company is not aware of any evidence that would indicate that any special selling efforts or selling methods (such as road
shows or other actions to condition the market for the Company’s common stock) by or on behalf of Oasis have occurred or
will occur if the Amended Registration Statement is declared effective.
The Company also notes that there are many reasons,
other than to effect an immediate resale, why investors may prefer securities to be registered, which may include: (i) some private
investment funds, including Oasis, are required to mark their portfolios to market and if portfolio securities are not registered,
such investors are required to mark down the book value of those securities to reflect an illiquidity discount; and (ii) an issuer’s
decision to not register its shares would prevent investors from taking advantage of market opportunities or from liquidating their
investments if, for example, the investors’ convictions in their original investment decision had waned.
U.S. Securities and Exchange Commission
October 8, 2019
Page 5
Therefore, the circumstances under which Oasis received
the New Oasis Notes support the conclusion that the offering pursuant to this prospectus is a valid secondary offering.
Factor 3: Oasis’s relationship with
the Company. Oasis has not had any material relationship with the Company in the past three years except for relationships
that are legacy to the Existing Oasis Notes received by Oasis in 2017 and those entered into in connection with the Transaction
Agreement. As stated in the Amended Registration Statement, these relationships include (i) the ownership of the New Oasis Notes
issued pursuant to the Transaction Agreement, (ii) the Voting Agreements (as defined in the Amended Registration Statement), (iii)
the ownership of the Existing Oasis Notes and (iv) Alex Shoghi, an employee of an affiliate of Oasis, who has served on the board
of directors of the Company since 2015.
Further, Oasis is not acting on the Company’s
behalf with respect to the registration of the Shares under the Amended Registration Statement and, other than the registration
rights granted to Oasis, the Company has no contractual, legal or other relationship with Oasis that would control either (a) the
timing, nature, or amount of resales of the Shares; or (b) whether such Shares are ever resold under the Amended Registration
Statement. The existence of registration rights are not, in and of themselves, evidence of an intent on the part of Oasis to sell
its Shares, much less to sell or distribute the Shares on behalf of the Company. Moreover, the New Oasis Notes were issued, in
part, in exchange for the Existing Oasis Notes issued in 2017 and 2018, which Oasis never converted and resold pursuant to the
Prior Registration Statement.
The Company did not and will not pay commissions or
fees to Oasis and will not receive proceeds from the resale of the common stock. In addition, pursuant to the terms of the New
Oasis Notes, Oasis may not submit for conversion any part of the New Oasis Notes if the number of shares of common stock issuable
upon such conversion of the New Oasis Notes, when added to all other shares of common stock deemed to be beneficially owned by
Oasis and its affiliates, would result in Oasis and its affiliates beneficially owning more than 4.99% of the issued and outstanding
common stock of the Company (the “Beneficial Ownership Limitation”). The Beneficial Ownership Limitation has
the effect of limiting the ability of Oasis to quickly convert and sell out of its investment position in the Company, supporting
the assertion that Oasis does not have an intent to distribute the Securities on behalf of the Company and is not acting as an
underwriter.
As a result, this factor weighs favorably in the Company´s
determination that the offering for resale of the Shares by Oasis is a secondary offering and not a primary offering.
Factor 4: The amount of shares being registered.
Given the facts and circumstances of the exchange transaction, the number of Shares being registered for resale does not support
the conclusion that the offering is really a primary distribution on behalf of the Company. As of September 4, 2019, the Company
had 38,323,211 shares of common stock outstanding, of which [37,224,305] shares were held by persons other than Oasis, affiliates
of the Company and affiliates of Oasis. The Company is seeking to register 46,728,275 Shares for resale that are issuable upon
conversion of the New Oasis Notes held by Oasis.

Hong Kong statutory rate is 16.5% and difference between the Hong Kong statutory rate and the US statutory rate of 35% is 18.5%.
The tax effect of differences in U.S. and foreign statutory rates would be 18.5% of $30 million, or $5.5 million. This
compared to the worldwide loss of $540,000 creates a significant difference of 1031.8%. In prior years, Hong Kong income was compared
as a percentage to worldwide income, not loss, and therefore, the percentage relationship was "normalized" compared
to the current year.
Please find the detail of the "other" reconciling item that totaled to 46.2%.

8. We note during the year ended December 31, 2011, reserves
for sales returns and allowances increased from $28.3 million to $43.4 million or 53%, and that you charged approximately $68
million to the income statement, an increase of $15.5 million or 29.5% over the amount charged in the prior year. In accordance
with Item 303(A)(3)(ii) of Regulation S-K, you are required to describe within MD&A any known trends or uncertainties that
have had or that you reasonably expect will have a material favorable or unfavorable impact on net sales or revenues or income
from continuing operations. Additionally, events that will cause a material change in the relationship between costs and revenues
shall also be disclosed. Given the significant increase during fiscal 2011, please explain to us and revise MD&A to explain
the nature and underlying business reason(s) for the increase in the reserve at December 31, 2011 and the amount recognized during
the year and whether the trend is expected to continue.
Response:
Markdowns are negotiated credits provided to our customers
on a one-off basis. Higher than historical levels of markdowns requiring reserves were granted to some of our largest customers
in the fourth quarter of 2011 due the slowdown of sales of our toy products at retail and in light of the levels of inventory held
by our customers. At this time, inventory levels at retail are not considered excessive and the rate of sale at retail is adequate
such that a higher than historical level of markdowns is not anticipated. In our future applicable filings, we will revise our
MD&A to explain the nature and underlying business reason(s) for the increase in the reserve at December 31, 2011 and the amount
recognized during the year and whether the trend is expected to continue.
Form 10-Q for the Quarter Ended June 30, 2012
Note 16. Subsequent Events, page 19
9. We note your disclosure that on July 26, 2012 you completed
the acquisition of Maui, Inc. for $32 million cash plus contingent payments in an amount up to an additional $33 million. Please
tell us the acquisition date fair value of the total consideration transferred, including an explanation of how you determined
the fair value of the contingent consideration. Also, please tell us how you allocated the total purchase price to the acquired
assets, liabilities and intangible assets.
Response:
The acquisition date fair value of the total consideration
transferred amounted to approximately $55.6 million as determined by the amount of cash paid, liabilities assumed and the aggregate
of the earn-out payments likely to be earned. The fair value of the contingent consideration includes the present value of the
aggregate of the three years earn-out payments of $18 million, but excludes a portion of the earn-out potential that is not considered
likely to be earned. The purchase price allocation is being finalized with the intangibles assets being valued by an independent
third party valuation expert.
The Company herewith acknowledges that
i) the Company is responsible for the adequacy and accuracy of the disclosure in this filing, ii) staff comments or changes to
disclosure in response to staff comments do not foreclose the Commission from taking any action with respect to the filing, and
iii) the Company may not assert staff comments as a defense in any proceeding initiated by the Commission or any person under the
federal securities laws of the United States.
We hope that the foregoing has been helpful
in answering the questions contained in your letter. Of course, if you have any further comments or require any further information,
please do not hesitate to call me at 310-455-6210.

Dear Ms.
Cvrkel:
This letter shall serve to respond to
the questions and comments contained in the Commission’s letter to the Company
dated December 20, 2010 regarding its review of the above-referenced Form
10-K.
We have
prepared our responses based upon the order of the comments set forth in the
Commission’s letter.
Annual Report on Form 10-K
for the year ended December 31, 2009
Financial Statements, page
37
Statements of Consolidated
Cash Flows, page 42
1.
Reference
is made to the line item “common stock surrendered” under cash flows from
financing activities. Please explain to us the nature of the activity
surrounding the surrender of common stock and why it represents a cash
outflow from financing activity rather than a non-cash
item.
Response:
Upon
the vesting of restricted stock pursuant to grants awarded to our employees,
compensation is earned by the employees, for which there are required income
taxes and related withholding. Such withholdings are collected by the Company
from the employees and are remitted to the various governmental agencies (e.g.,
United States Treasury for Federal income taxes). From time to time, the Company
accepts shares of its common stock in settlement of these withholdings. In
effect, the Company is repurchasing a portion of the vested shares at fair
value, and uses the cash on behalf of the employee to satisfy the withholding
requirements. The mechanics are the issuance of a reduced number of shares to
the employee and a direct payment of cash by the Company to the taxing
authorities. From an accounting standpoint the transaction is recorded as a
treasury stock purchase from the employee and, instead of giving the employee
cash for the shares, the cash is remitted to the taxing authorities on the
employee’s behalf. Accordingly, the surrenders of common stock are reflected as
a cash outflow from financing activities.

Financial Statements, page 43

2.
We
note from your disclosure on page 33 that you have entered into various
character and product licenses with royalties generally ranging from 1% to
14% payable on net sales of the related products. We also note that the
company has already paid minimum royalty guarantees of $60 million as of
December 31, 2009 and has future minimum royalty guarantees of $91
million, of which $62.3 million is due in the next twelve months. Please
tell us how the payments for such guarantees are being accounted for
within your financial statements and revise your notes to the consolidated
financial statements to disclose your policy for recognizing the minimum
royalty guarantees. As part of your response, please provide us with the
relevant accounting guidance you relied upon which supports the basis for
your accounting treatment.
Response:
Minimum
royalty guarantees are deemed to be commitments for which disclosures are made
in the notes to the Company’s financial statements. Such guarantees are
generally fulfilled over the term of a license agreement as royalties are
accrued and paid at the contractual royalty rate as sales occur on a quarterly
basis. These payments reduce the minimum guarantee owed under the license
agreement. Only when there is a shortfall in achieving the minimum sales
necessary to fulfill a minimum royalty guarantee does the Company record a
minimum guarantee shortfall liability in its financial statements to the extent
of the estimated shortfall. In addition, license agreements may provide for
advance payments against the minimum guarantees. Such advance payments are
recorded as prepaid expenses on the balance sheet and are written off to expense
(i.e. recouped) as the related royalties are earned as sales of the licensed
product is sold. In the event the advance is not expected to be earned out, such
advances are written off and the shortfall on the minimum guarantee is accrued
to expense. The Company reviews each license agreement on a quarterly basis and
immediately reserves for any anticipated guarantee shortfall. The determination
of a guarantee shortfall is made based on management’s estimate of future sales
of the licensed products and the royalties that would be earned thereon and
after confirming that the licensor has met all of its contractual obligations.
The relevant accounting guidance considered in developing our accounting
treatment of minimum royalty guarantees included FASB Concepts Statements
No. 5 and 6 and Topic 440.
In
future applicable filings, we will revise our disclosure to describe our policy
for recognizing the minimum royalty guarantees.

We
note your presentation of non-GAAP condensed Statements of Income in
Exhibit 99.1. Please note that we do not believe it is
appropriate to present a non-GAAP statement of income. In future filings,
please revise your presentation to reconcile each non-GAAP measure
separately to the most comparable measure calculated in accordance with
GAAP. Refer to the Compliance and Disclosure Interpretations, issued
January 15, 2010, Question 102.10.
Response:
In
our future applicable filings, we will revise our presentation to reconcile each
non-GAAP measure separately to the most comparable measure calculated in
accordance with GAAP.
The
Company herewith acknowledges that i) the Company is responsible for the
adequacy and accuracy of the disclosure in this filing, ii) staff comments or
changes to disclosure in response to staff comments do not foreclose the
Commission from taking any action with respect to this filing, and iii) the
Company may not assert staff comments as a defense in any proceeding initiated

No. 0-28104
Dear Ms.
Cvrkel:
This letter shall serve to respond to
the questions and comments contained in the Commission’s letter to the Company
dated June 29, 2009 regarding its review of the above-referenced
Form10-K.
We have
prepared our responses based upon the order of the comments set forth in the
Commission’s letter.
Form 10-K for the year ended
December 31, 2008
World Wrestling
Entertainment Video Games, page 7
1. We note
from your disclosure that the joint venture formed with THQ entered into a
license agreement with the WWE under which it acquired the exclusive worldwide
right to publish WWE video games on all hardware platforms. The term
of the license agreement expires on December 31, 2009 and the joint venture has
a right to renew the license for an additional five years provided that there is
an absence of a material breach of the license agreement…” Considering that the
WWE has filed several lawsuits against you, THQ and the joint venture declaring
among other things, that the video game license with the joint venture and an
amendment to your toy licenses with WWE are void and unenforceable, please
revise your MD&A in future filings to quantify the potentially adverse
consequences to your business, future statement of position, future results of
operations and future cash flows if the joint venture is not able to renew the
license agreement with the WWE. As part of your response, please
provide us with your proposed future disclosure.
Response:
Please be
advised that the WWE Action and the Connecticut Action have both been dismissed.
The dismissal of the WWE Action has been affirmed by the Second Circuit Court of
Appeals and the dismissal in the Connecticut Action has been
appealed. Accordingly, no material breach of the license agreement
has been found and the license remains in full force and effect. With
respect to the renewal of the videogame license, disclosure has been added to
the 6/30/09 10-Q (Notes to Condensed Consolidated Financial Statements, Note 17
and Part II, Item 1) disclosing our dispute with THQ over the effectiveness of
our notice to renew. If the license is not renewed, or if the WWE is
successful on one of its claims to terminate the license, we are unable to
quantify the amount of adverse consequences inasmuch as any future revenue from
the license is speculative. While the amount of past profits from the
license received by us in the form of the Preferred Return has been, and
continues to be, disclosed in all of our periodic reports, there is no basis to
estimate the profits, if any, that we would not realize in the event the license
is not renewed. Accordingly, we respectfully request that this
comment be waived.
Part I, page

Item 1A. Risk Factors, page
11
2. In future
filings, please remove the references in your first paragraph that the risk
factors listed in your annual report on Form 10-K are “illustrative” of the
risks and uncertainties that may arise or revise to clarify that you have
discussed all known material risks.
Response:
In our
future applicable filings, we will remove the references in our first paragraph
that the risk factors listed in our annual report on Form 10-K are
“illustrative” of the risks and uncertainties that may arise.

3. Reference
is made to your disclosure on page 33 where we note significant variability in
income (loss) from operations, income before incomes taxes and net income
between the first quarter of 2008 and fourth quarter of 2008, and the comparable
prior first quarter of 2007 and fourth quarter of 2007,
respectively. In this regard, please provide us with (i)
the nature of items and amounts that contributed to the aforementioned
significant variability in the first quarter of 2008 and fourth quarter of 2008
when compared to the first quarter of 2007 and fourth quarter of 2007,
respectively and (ii) the reasons why income (loss) from operations, income
before incomes taxes and net income compared to the respective net sales for the
first quarter of 2008 and fourth quarter of 2008 is disproportionately different
when compared to the comparable prior quarters of 2007.

Comparison
of the First Quarter of 2008 and 2007
Gross
margin for first quarter 2008 and 2007 were comparable. Gross profit
in 2008 was higher by $1.9 million compared to 2007 as a result of higher volume
of unit sales for that quarter.
Income
from operations was lower in 2008 compared to 2007, mainly due to higher product
development and product testing charges of $1.9 million in 2008, which increased
by 1.3% of net sales from 2.6% of net sales in 2007 to 3.9% of net sales in
2008. Additionally, legal expenses in SG&A were $2.3 million
higher in 2008 compared to 2007.
Comparison
of the Fourth Quarter of 2008 and 2007
Gross
margin for fourth quarter 2008 was lower by 3.8% of net sales compared to 2007
mainly to more goods sold with a higher cost of sales and higher depreciation of
molds and tools as a result of higher purchases of molds and tools in 2008 in
support of an increased number of new items in 2008. Gross profit in 2008 was
lower compared to 2007 mainly due to lower volume of unit sales, more goods sold
with a higher cost of sales and higher depreciation of molds and tools as a
result of higher purchases of molds and tools in 2008.
Income
from operation was lower in 2008 compared to 2007, mainly due to higher product
development and product testing charges of $3.8 million in 2008, which increased
by 1.5% of net sales from 2.0% of net sales in 2007 to 3.5% of net sales in
2008. Additionally, legal expense and advertising expense were higher
in 2008 compared to 2007 by $1.1 million and $6.1 million,
respectively.
Profit
from our joint venture decreased by $5.5 million in 2008 from $18.1 million in
2007 to $12.6 million in 2008 due to lower sales of video games.
3
The
effective tax rate for the fourth quarter 2008 was 18.9% compared to 33.6% for
the fourth quarter 2007. The decrease in the effective rate in 2008
is primarily due to the reduction in income tax expense due to the
de-recognition of a previously recorded potential income tax liability for
uncertain tax positions that are no longer subject to audit due to the closure
of the audit period.

5. In future
filings, please disclose all performance targets, including the targeted level
of your adjusted earnings per share for your annual cash incentive compensation
and the share growth targets for acceleration of the vesting period of
restricted stock awards, which must be achieved in order for your executive
officers to earn their incentive compensation. To the extent you
believe that disclosure of the targets is not required because it would result
in competitive harm such that the targets could be excluded under Instruction 4
to Item 402(b) of Regulation S-K, please provide us with a detailed explanation
for such conclusion. Please also note that to the extent that you
have an appropriate basis for omitting the specific targets, you must discuss
how difficult it would be for the named executive officers or how likely it will
be for you to achieve the undisclosed target levels or other
factors. General statements regarding the level of difficulty, or
ease, associated with achieving performance goals either corporately or
individually are not sufficient.
Response:
In our
future applicable filings, we will disclose all performance targets, including
the targeted level of our adjusted earnings per share for our annual cash
incentive compensation and the share growth targets for acceleration of the

our executive officers to earn their incentive compensation.

Management Discussion and
Analysis
6. We note
that you have recently experienced declines in the trading value of your
outstanding common shares, which has resulted in the Company’s market
capitalization being significantly less than the Company’s recorded book value
of its net assets. We also note that your book value at December 31,
2008 and March 31, 2009 included a significant amount of goodwill and intangible
assets. Given the significant disparity between your market
capitalization and your book value at December 31, 2008 and March 31, 2009,
respectively, please expand MD&A in future filings to explain the facts and
circumstances which management believes are responsible for the significant
disparity between your market capitalization and the book value of your
equity. Also, please disclose in future filings how the
aforementioned was considered in your goodwill and intangible assets impairment
analysis. As part of your response, please provide us with your
proposed future disclosure.
Response:
As of
June 30, 2009, all of the goodwill on our books was written down as a result of
our interim impairment assessment performed due to the sustained reduction in
the market capitalization of our common stock even though, among other things,
there was a favorable Second Circuit of Appeals affirmence of the
dismissal of the WWE Action in the Company’s ongoing litigation with the WWE
which did not result in any recovery in the Company’s market capitalization. It
has been determined that the decline is not temporary resulting in the write off
of $407.1 million of goodwill, all of which was attributable to our acquisition
of operating businesses in the past.
In our
future applicable filings, we will expand our MD&A to explain the facts and
circumstances which management believes are responsible for the significant
disparity between our market capitalization and the book value of our equity
when such disparities arise. We will also disclose how the aforementioned is
considered in our goodwill and intangible assets impairment
analysis.

We from your disclosure that the decrease in net sales for th e Traditional Toys segm ent in the first quarter of 2009 as co mpared to the first quarter of 2008 was primarily due to lower sales of several products and / or bra nds (see page 20 for the list of products and brands). You should not only identify that you experienced more sales of higher product cost items, but should also analyze the reason underlying this peri od-over-period change in product mix. The analysis should reveal underlying mate rial causes of the matters described and any future impact on operating resu lts. A thorough analysis involves discussing both the intermediate effects of thos e material factors and the reason underlying those intermediate effects associ ated with the material causes for the change from period to period. 1. We
note that your critical accounting policies do not address specific estimates
management makes in relation to each policy. In accordance with the guidance
in
FR-72 (Release 33-8350), please
revise
your discussion in future filings to identify the risks involved with critical
accounting policies, analyzing to the extent possible factors such
as:
·
How
the company arrived at the specific
estimate;
·
How
accurate the estimate/assumption has been in the
past;
·
Whether
the estimate/assumption is reasonably likely to change in the future;
and
·
Evaluate
the sensitivity to change of critical accounting
policies.
Response:
We
will
revise our future applicable filings to identify the risks involved with
critical accounting policies, analyzing to the extent possible factors such
as
the ones included in the Commission’s question.

2. We
note that with respect to your preferred return in the joint venture with THQ,
you recorded a receivable of $13.5 million for the six months ended
December 31, 2006. According to your disclosures, your preferred return
arrangement with THQ was subject to change after June 30, 2006 and was to
be reset for the period July 1, 2006 to December 31, 2009 (Next
Distribution Period). However, since a new agreement had not been reached
between you and THQ for the Next Distribution Period, you estimated your
preferred return based on the same rates set for under the original joint
venture agreement. In this regard, please tell us why you believe it is
appropriate to recognize a receivable for the six months ended December 31,
2006
using the rates set forth in the initial arrangement when your preferred return
arrangement is subject to change and moreover arbitration. Please quantify
for
us the amount of the preferred return relating to the six months ended December
31, 2006 that has been recognized within your statements of operations. Further,
we note from your Form 10-Q for the quarter ended March 31, 2007 that you
still had not reached an agreement with THQ and further, filed an action to
compel arbitration; however, continued to recognized income from the joint
venture in the amount of $1.5 million. Please provide us with the basis for
your
accounting treatment as it is unclear to us how you conclude that realization
of
such amounts at March 31, 2007 is probable in light of your inability to
successfully negotiate new terms for the Next Distribution Period and the time
period that has transpired since the expiration of your initial agreement with
THQ.
Please
tell us whether you have collected to date any payments from THQ relating to
the
preferred return for the six months ended December 31, 2006. Please provide
us
with a status of your negotiations and whether a new preferred return agreement
with THQ has been reached. We may have further comment upon receipt of your
response.
Response:
The
rate
of our preferred return in the joint venture with THQ Inc. is governed by the
terms of the Operating Agreement between us (the “Agreement”). The Agreement, in
providing for a possible adjustment to the percentage amount (up or down) of
the
preferred return, states as follows:
Notwithstanding
anything herein, the arbitrator will be instructed to take into account
(i) general economic conditions, (ii) market conditions (current and
future) in the interactive game business, (iii) market conditions (current
and
future) in the professional wrestling business in general and the business
of
the WWF in particular, (iv) historical sales by the Joint Venture and (v) the
Joint Venture’s historical profits -- all for the purpose of evaluating the
prospective anticipated Joint Venture Net Sales and profits and each party’s
risks, benefits and investments during such Subsequent Distribution Period,
but
not for the purpose of attempting to adjust for, or compensate either party
for,
the results obtained during the Initial Distribution Period or any prior
Subsequent Distribution Period. If such economic and market conditions are
essentially the same at the time of such arbitration as they are as of the
date
of this Agreement, the Subsequent Games Sales Amount and the Base Amount for
the
Subsequent Distribution Period shall be essentially the same as for the Initial
Distribution Period; and if such economic or market conditions have changed,
such Changes shall be considered by the Arbitrator in determining which party’s
proposals to accept.
We
believe the foregoing provision of the Agreement will lead the arbitrator to
conclude that the preferred return should either stay the same or be
increased. We have conservatively assumed it to stay the same. Moreover,
THQ, Inc., in its own filings, has an accrued liability in its financial
statements based on the preferred return continuing at the same
level.
Furthermore,
the Agreement provides for a “baseball” method of arbitration, pursuant to which
each of THQ, Inc. and we will propose a reset amount and the arbitrator will
select one or the other proposal. In light of our assessment of the above
provision, we do not intend to propose a figure any less than the rate of
preferred return we received through June 30, 2006. To indicate otherwise in
our
financial statements would be inconsistent with the amount to which we believe
we are entitled under the contract.
Based
upon the foregoing assessment, we accrued a total of approximately $13.5 million
for the six months ended December 31, 2006, and $1.5 million for the quarter
ended March 31, 2007, for which no payments have yet been received, and which
will not likely be received until the conclusion of the arbitration.
To
date,
we have not resolved our dispute with THQ, Inc. and, accordingly, no new
preferred return rate has been reached with THQ. On July 30, 2007, the
Court appointed an arbitrator, who was directed to provide disclosures that
will
be reviewed by the parties.
Form

We
note your presentation of non-GAAP net income excluding stock-based compensation
and acquisition related amortization charges. In future filings, please revise
all non-GAAP measures to conform to the requirements of Regulation G,
specifically, the reconciliation and the narrative required by section 2.02
of
Form 8-K. Furthermore, the staff does not believe it is appropriate to present
a
non-GAAP measure with greater prominence than the equivalent GAAP measure.
Revise all future filings to include your GAAP net income prior to discussing
such other measures.
Response:
In
our
future filings, to the extent non-GAAP measures are presented, we will revise
all non-GAAP measures to conform to the requirements of Regulation G.
Furthermore, we will revise all future applicable filings to include GAAP
measures, such as net income, prior to discussing other corollary non-GAAP
measures.

We
note several news articles in March 2007 regarding the voluntary recall of
battery packs associated with one of your products. Please tell us why you
did
not disclose information concerning the recall in your March 31, 2007 Form
10-Q
and what impact the recall had on your results of operations with regards to
warranty claims and/or losses. You should revise all future filings to discuss
such issues to the extent any related costs or losses are
significant.
Response:
The
recall did not significantly impact our results of operations with regards
to
warranty claims and/or losses. The two factories from which the batteries were
purchased accepted responsibility for the defects, resulting in a net cost
to us
of less than US$100,000. Accordingly, the recall did not warrant disclosure.
We
will, in all applicable future filings, discuss such issues to the extent any
related costs or losses are significant.
We
hope
that the foregoing has been helpful in answering the questions contained in
your
letter. Of course, if you have any further comments or require any further
information, please do not hesitate to call.

1. We note that your critical accounting polic ies do not address specific estimates

FR-72 (Release 33-8350), please revise your discussion in future filings to identify the risks involved with critical accounting policies, analyzing to the
extent possible factors such as:
• How the company arrived at the specific estimate;
• How accurate the estimate/assumption has been in the past;
• Whether the estimate/assumption is reasona bly likely to change in the future;
and
• Evaluate the sensitivity to change of critical accounting policies.

2. We note that with respect to your preferre d return in the joint venture with THQ,
you recorded a receivable of $13.5 million for the six months ended December
31, 2006. According to your disclosures, your preferred return arrangement with
THQ was subject to change after June 30, 2006 and was to be reset for the period
July 1, 2006 to December 31, 2009 (Next Distribution Period). However, since a new agreement had not been reached between you and THQ for the Next
Distribution Period, you estimated your pref erred return based on the same rates
set for under the original joint venture agr eement. In this regard, please tell us
why you believe it is appropriate to r ecognize a receivable for the six months
ended December 31, 2006 using the rates set forth in the initial arrangement when your preferred return arrangement is subject to change and mo reover arbitration.
Please quantify for us the amount of the pref erred return relating to the six months
ended December 31, 2006 that has been rec ognized within your statements of
operations. Further, we not e from your Form 10-Q for the quarter ended March
31, 2007 that you still had not reached an agreement with THQ and further, filed an action to compel arbitration; however , continued to recogn ized income from
the joint venture in the amount of $1.5 m illion. Please provide us with the basis
for your accounting treatment as it is unc lear to us how you conclude that
realization of such amounts at Marc h 31, 2007 is probable in light of your
inability to successfully negotiate new terms for the Next Distribution Period and the time period that has transpired since the expiration of your initial agreement with THQ.

3. We
note your disclosure that certain options have been repriced resulting in
compensation adjustments, which have been reflected in net income. Please
provide us with the nature and details of any option repricings and resulting
compensation adjustments that occurred during the three years ended
December 31, 2005.
On
October 30, 2000, our Board of Directors resolved that (i) each of the options
to purchase 1,846,194 shares of our common stock that were outstanding as of
such date (the “Options”) be amended to reset their exercise price to $7.875;
and (ii) the number of shares to be issued upon the exercise price of the
Options be decreased pro rata; provided, that neither of the foregoing changes
would occur unless the holder of an Option consented to such changes. In total,
the holders of Options to purchase 1,717,324 shares (or 93.0% of the total
number of Options) participated in such repricing, so that the total number
of
shares underlying the Options was reduced from 1,717,324 shares to 1,384,609
shares. As a result, effective as of October 30, 2000, we began to account
for
any repriced Options using the variable method pursuant to APB 25 and FIN 44,
which resulted in charges or credit to compensation expense based on
fluctuations in the market price of our common stock for the three years in
the

4. (i) We
note that during 2004 and 2005 shares of restricted stock were issued to certain
executives and directors. Please tell us and disclose in future filings the
nature of the vesting provisions of the stock, and your method of recording
compensation expense and deferred compensation.
We
will
disclose in all future applicable filings the nature of the vesting provisions
of our restricted stock and our method of recording compensation expense and
deferred compensation. The following would be an example of such disclosure
for
2004 and 2005:
Executive
Officers -
In
accordance with their respective Employment Agreements, Jack Friedman and
Stephen Berman were each granted the
right
to be issued an aggregate of 1,080,000 shares of restricted stock. The first
tranche of restricted stock (240,000 shares for each of Messrs. Friedman and
Berman), was granted at the time the agreements became effective in 2003, and
120,000 shares were granted to each of them on each of January 1, 2004 and
2005. No
other
executive officers were issued any shares of restricted stock in 2004 and 2005.
In
the
subsequent years of their respective employment terms, Messrs. Friedman and
Berman will each receive 120,000 shares of restricted stock.
The
vesting of each tranche of restricted stock is subject to our achieving pre-tax
income in excess of $2,000,000 in the fiscal year that the grant is made (which
we achieved in each of 2004 and 2005). Each tranche of restricted stock granted
or to be granted from January 1, 2004 through January 1, 2008 is
subject to a two-year vesting period, which may be accelerated to one year
if we
achieve certain earnings per share growth targets (which we achieved in 2004
and
2005). Each tranche of restricted stock to be granted thereafter through
January 1, 2010, is subject to a one-year vesting period.
Directors
-
In
accordance with the terms of our 2002 Incentive Equity Plan, our non-employee
directors were issued on each of January 1, 2004 and 2005, 1,000 shares of
our
restricted stock, which shares vested on the one-year anniversary of their
date
of grant (subject to the director in question still serving in such capacity
as
of such one-year anniversary).
Method
of
Recording Compensation Expense and Deferred Compensation -
Upon
granting of the restricted stock, all weighted shares of restricted stock are
included in our basic and diluted earning per share calculation. At the grant
date, restricted stock is booked as Deferred Compensation and the offset is
booked to Common Stock and Additional Paid-In Capital. Throughout the year,
the
Deferred Compensation is reduced with an offset to restricted stock expense.
Effective with the implementation of FAS123R, any balance in the Deferred
Compensation account is netted against Additional Paid-In Capital.
For
example, on January 1, 2005, Messrs. Friedman and Berman were each granted
120,000 shares of restricted stock, of which 60,000 shares vested on January
1,
2006 and 60,000 shares are scheduled to vest on January 1, 2007. The following
is the accounting that took place:
Debit
Deferred
Compensation
Credit Common
Stock
Credit Additional
Paid In Capital
The
restricted stock expense for each of Messrs. Friedman and Berman was recognized
as follows:
Debit
Restricted
Stock Expense
Credit Deferred
Compensation
(ii) Also,
for the shares of restricted stock that were issued during 2004 and 2005, please
explain to us why the total value of the shares was expensed during the same
year the shares of restricted stock were issued.
Restricted
stock issued during 2004 and 2005 was fully expensed during the same year the
shares of restricted stock were issued because of the accelerated vesting
resulting from the percentage growth of our earnings per share (as described
in
(i), above).
(iii) Also,
please tell us the number of shares of restricted stock that have been issued
but have not vested as of December 31, 2005 and explain to us how you have
considered these unvested shares in your basic and diluted earnings per share
calculation.
As
of
December 31, 2005, all shares of restricted stock that had been issued were
fully vested and included in both our basic and diluted earning per share
calculation.
5. Please
explain to us the nature of the $5.3 million increase to APIC and charge to
stock compensation expense during fiscal 2004 which is represented on the
statements of stockholders’ equity as “compensation for fully vested stock
options.” Similarly, explain the $1.7 million decrease to APIC and reduction to
stock compensation expense during fiscal 2005.
Please
refer to our response to comment #3. The fluctuation in our stock price gave
rise to the following journal entries:
Year
2004: Debit Compensation
for fully vested options
Credit Additional
Paid-In Capital
Year
2005: Debit Additional
Paid-In Capital
Credit Compensation
for fully vested options
6. We
note that during 2005 you issued 566,546 shares of common stock for
$4.9 million of cash and restricted stock. Please explain to us when the
101,002 shares of restricted stock were issued, how you determined or calculated
their value of $1.7 million, and how you accounted for the exchange of 101,002
shares for 215,982 shares.
On
September 13, 2005, each of Messrs. Friedman and Berman exercised an option
to
purchase 107,991 shares of our common stock (or 215,982 shares in the aggregate)
and, in accordance with the terms of our 1995 Employee Stock Option Plan, as
amended and restated, each paid the $850,430 exercise price therefor through
the
surrender of 50,501 of common stock (or 101,002 shares in the aggregate), based
upon the closing price of our common stock on September 13, 2005 of $16.84.
The
101,002 surrendered shares were charged to Treasury Stock. The 101,002 shares
of
restricted stock were initially issued as of January 1, 2004. Simultaneously,
the 215,982 shares issued pursuant to the option exercise were accounted for
as
increases to Common Stock and APIC. Upon the retirement of the surrendered
101,002 shares, Common Stock and APIC were likewise reduced along with the
Treasury Stock.
7. We
note that during 2003, you awarded 2,760,000 shares of restricted stock to
certain executives, of which 396,000 were earned during 2004. Please explain
to
us how you have accounted for the 396,000 shares in 2004 including how you
valued the shares and how they have been accounted for in the statement of
stockholders’ equity.
The
396,000 shares of restricted stock earned in 2004 were charged to compensation
expense during 2003 and 2004, the service period of such grants, with an offset
to Deferred Compensation From Restricted Stock Grants, which as of December
31,
2004 was nil due to the full vesting of such shares during 2004. As of December
31, 2003, $789,000 of stock-based compensation relating to 60,000 restricted
shares that vested on January 1, 2005 was deferred in the stockholders’ equity.
The value of the shares was determined using the closing stock price on the
last
trading day of each of the fiscal years.

Sheets
10. We
note that your investment in the THQ video game joint venture has decreased
from
$10.4 million as of December 31, 2005 to $3.2 million as of March 31, 2006.
Please explain to us the nature of this decrease.
Our
investment in the THQ video game joint venture is comprised of two
components: (1) our actual investment in the joint venture, with a net book
value of $2.0 million as of December 31, 2005, that is being amortized over
the
life of the underlying license agreement for which the joint venture was
organized; and (2) an accrual for the preferred return earned by us each
quarter, which is settled in the following quarter. Accordingly, the reduction
in the balance in the investment account is primarily due to our receipt of
the
payment in the amount of $8.4 million in the quarter ended March 31, 2006 for
the preferred return earned by us in the fourth quarter ended December 31,
2005.
The fourth quarter is typically the highest volume quarter due to the number
of
video game titles typically released in the fourth quarter. This resulted
in the net reduction for the quarter ended March 31, 2006.

Management’s Discussion and Analysis
– Results of Operations
11. Please revise to discuss and analyze results of operations by the operating
segments disclosed in note 3 to the financial statements. For example, please discuss and analyze net sales and cost of sales (rather than margins) separately for each segment. Because margins are impacted by both net sales and cost of sales, we believe a separate discussion of co st of sales results is appropriate.
12. Please consider the use of tables wh en quantifying change s, with narrative
discussions following the tables to explai n the underlying business reasons for the
changes.
13. For revenues, please quantify factors such as price, mix, and volume changes.
14. Please expand your discussion of cost of sales and selling, general, and administrative expenses to quantify and discuss the significant cost components within these broad categories, such as licensing fees, product costs, product development costs, marketing costs, depr eciation and amortization, and any other
significant components that would enab le readers to understand your business
better. For example, you st ate that gross profit wa s affected by lower product
costs and tool and mold amortization, offs et in part by an increase in royalty
expense, but you do not quantify these cha nges or provide the actual cost figures
necessary to put these cha nges in proper context.

Management’s Discussion and Analysis
– General
17. We note that in connection with the joint venture with THQ, no agreement has been reached for the preferred return for the period July 1, 2006 to December 31, 2009. Please revise MD&A in future filings to discuss the existence of this uncertainty and explain how it may effect your financial position and statements
of operations in the future.
