  Registration Statement on Form S-3

  Filed October 25, 2024

  File No. 333-282840

Dear
Ms. Sidwell and Ms. Angelini:

On
behalf of MicroVision, Inc. (“MicroVision” or the “Company”), we hereby submit to the Securities
and Exchange Commission (the “Commission”), via EDGAR, Amendment No. 1 (the “Amended Registration Statement”)
to the above-referenced Registration Statement on Form S-3, filed with the Commission on October 25, 2024 (the “Registration
Statement”). The Amended Registration Statement reflects revisions to the Registration Statement made in response to the comment
from the staff of the Commission (the “Staff”) in the Staff’s letter dated November 12, 2024, as well as certain
other updated information.

In
addition, we are providing the following response to the Staff’s comment. For reference purposes, the comment contained in the
Staff’s letter is reproduced below in italics and the corresponding response appears below the comment.

Registration
Statement on Form S-3 filed October 25, 2024

General

1. We
note your response to our prior comment 1. Please revise your disclosure to clearly state
that the 42,692,019 shares being offered are those underlying notes in the aggregate principal
amount of $45,000,000 that were issued to the selling stockholder on October 23, 2024. In
this regard, we note that the capitalized term “Convertible Note” appears to
be used interchangeably to refer to both the $45,000,000 principal amount that has been issued
and the entire $75,000,000 principal amount that may be issued. Please further revise your
disclosure to clarify that you expect to register any additional shares underlying notes
in the aggregate principal amount of up to $30,000,000 that may be issued in the future to
the selling stockholder, and discuss the potential dilution to investors.

Response
to Comment 1:

In response to the Staff’s
comment, the Company has revised the cover page of the prospectus to clarify that the Registration Statement registers only the resale
of 42,692,019 shares of Common Stock underlying the “Initial Purchased Notes” contemplated by the Securities Purchase Agreement
in the aggregate principal amount of $45,000,000, which were issued by the Company to the selling stockholder pursuant to the Securities
Purchase Agreement in a private placement that the Company consummated on October 23, 2024. The Company has also revised the Registration
Statement on page 4 to clarify that the resale of shares of Common Stock underlying the remaining $30,000,000 of aggregate principal amount
of the notes that the Company may issue to the selling stockholder pursuant to the Securities Purchase Agreement would be registered separately.
Finally, the Company has revised the Registration Statement on page 7 to discuss the potential dilution to investors from any issuance
of the Subsequently Issued Notes.

Please
do not hesitate to call me at (617) 951-7063 with any questions or further comments you may have regarding this filing.

Dear
Ms. Sidwell and Ms. Angelini:

On
behalf of MicroVision, Inc. (“MicroVision” or the “Company”), we hereby submit to the Securities
and Exchange Commission (the “Commission”), via EDGAR, the following response to the comment from the staff of the
Commission (the “Staff”) in the Staff’s letter dated November 5, 2024 on the above-referenced Registration Statement
on Form S-3, filed on October 25, 2024 (the “Registration Statement”). For reference purposes, the comment contained
in the Staff’s letter is reproduced below in italics and the corresponding response appears below the comment.

Registration
Statement on Form S-3 filed October 25, 2024

General

1. We
note that you seek to register shares of common stock underlying the Convertible Note that
are issuable in the future. Section 1(e) of the Securities Purchase Agreement, dated October
14, 2024, states that the Buyer “shall only be required to purchase from the Company
such Subsequently Purchased Notes as is set forth on the applicable Subsequently Purchased
Notes Notice if such Subsequently Purchased Notes Notice is accepted by the Buyer exercising
its sole discretion.” Please note that it is not appropriate to register the resale
of common stock underlying a convertible security that has not yet been issued unless the
selling shareholder is irrevocably bound to purchase the convertible security and is at market
risk at the time the registration statement is filed. Here, it appears that the Buyer is
able to exercise its discretion in purchasing Subsequently Purchased Notes, and so is not
irrevocably bound to purchase the securities. Please revise your registration statement as
necessary to remove the resale of all shares underlying the Subsequently Purchased Notes,
or advise. Refer to Question 139.11 of our Compliance and Disclosure Interpretations relating
                                            to Securities Act Sections.

Response
to Comment 1:

The
Company advises the Staff that the Registration Statement does not seek to register shares of common stock underlying the Convertible
Note that are issuable in the future. Instead, the Registration Statement registers only the resale of shares of Common Stock underlying
the “Initial Purchased Notes” contemplated by the Securities Purchase Agreement in the aggregate principal amount of $45,000,000.
As disclosed in the Registration Statement, the shares offered thereby are issuable pursuant to the senior secured convertible note sold
by the Company pursuant to the Securities Purchase Agreement in a private placement that the Company consummated on October 23, 2024.
The resale of shares of Common Stock underlying any Subsequently Purchased Notes, if any, would be registered separately. The Company
therefore respectfully submits that no revision to the Registration Statement is necessary to address the concern raised by the Staff.

Please
do not hesitate to call me at (617) 951-7063 with any questions or further comments you may have regarding this filing.

  Sincerely,

  /s/
  Thomas Fraser

Registration Statement on Form S-3 filed on October 25, 2024
General
We note that you seek to register shares of common stock underlying the Convertible
Note that are issuable in the future. Section 1(e) of the Securities Purchase
Agreement, dated October 14, 2024, states that the Buyer "shall only be required to
purchase from the Company such Subsequently Purchased Notes as is set forth on the
applicable Subsequently Purchased Notes Notice if such Subsequently Purchased
Notes Notice is accepted by the Buyer exercising its sole discretion." Please note that
it is not appropriate to register the resale of common stock underlying a convertible
security that has not yet been issued unless the selling shareholder is irrevocably
bound to purchase the convertible security and is at market risk at the time the
registration statement is filed. Here, it appears that the Buyer is able to exercise its
discretion in purchasing Subsequently Purchased Notes, and so is not irrevocably 1.

Form 10-K for the Fiscal Year Ended December 31, 2018

 Filed March 6, 2019

 Response dated June 28, 2019

 File No. 001-34170

Ladies and Gentlemen:

 MicroVision, Inc. (the
“Company”) hereby submits this response to the comment letter dated July 18, 2019 of the staff of the Division of Corporation Finance (the “Staff”) of the Securities and Exchange Commission relating to the
Company’s above-referenced Annual Report on Form 10-K and Response Letter dated June 28, 2019. For your convenience, we have reproduced the Staff’s comment in italics below, followed by the
Company’s response.

Form 10-K for the Fiscal Year Ended December 31, 2018

Exhibits

 1. Your response to prior
comment 1 does not address the financial impact of the five-year license agreement signed in May 2018 and the contract services agreement signed in April 2017. We note that substantially all of your revenue for the year ended December 31, 2018
was derived from these agreements. In light of the significance of these agreements to your total revenues and cash flows, please explain how you considered the financial implications in concluding that your business is not substantially dependent
on the agreements. Refer to Item 601(b)(10)(ii)(B) of Regulation S-K.

 Response to Comment 1:

As discussed with the Staff, in arriving at the conclusion that the referenced agreements are not required to be filed, the Company did consider the financial
implications of such agreements. The Company does not dispute that a significant part of its revenues for 2018 were derived from the five-year license agreement signed in May 2018 (the “May 2018 Agreement”) and that a significant
part of its revenues for 2018 and 2019 were derived from the contract services

Securities and Exchange Commission

August 1, 2019

Division of Corporation Finance

agreement signed in April 2017 (the “April 2017 Agreement”). However, as set forth in detail below, neither of these agreements constitutes “a contract upon which the
registrant’s business is substantially dependent, as in the case of continuing contracts to sell the major part of registrant’s products or services or to purchase the major part of registrant’s requirements of goods, services or raw
materials or any franchise or license or other agreement to use a patent, formula, trade secret, process or trade name upon which registrant’s business depends to a material extent” as described in Item 601(b)(10)(ii)(B) of Regulation S-K. Although each of these agreements is part of the overall business activities of the Company aimed at developing a market and demand for its technology, engines and components, the Company’s business
strategy is focused on selling engines and components and licensing technology to original design manufacturers (ODMs) and original equipment manufacturers (OEMs), and neither agreement involves any commitment or certainty of the Company selling any
significant products or components in the future. Accordingly, neither involves either a continuing contract to sell a major part of the Company’s products or a license on which the Company’s business depends to a material extent.

As noted in the Company’s prior response letter and described in the Company’s public filings, the Company’s business strategy is to
commercialize its PicoP scanning technology by enabling OEMs and ODMs to produce end-user products via three go-to-market paths:
design and sell laser beam scanning (LBS) engines directly to OEMs and ODMs to incorporate inside their products; license its LBS technology and sell key components to OEMs and ODMs to create their own scanning engines; and license LBS technology to
OEMs and ODMs who developed their own key components or subsystems. The Company believes that each of the referenced agreements clearly ordinarily accompanies the Company’s business as described in its reports filed with the Securities and
Exchange Commission, but that the Company is nevertheless not substantially dependent on either of the agreements in connection with its ongoing business strategy.

While the April 2017 Agreement was entered into in furtherance of this business strategy, it is a development services agreement—not a continuing
contract for the purchase or license of the Company’s engine components or technology. Under the terms of this agreement, the Company will receive $15.1 million in fees over 26 months for development contingent on completion of milestones.
In June 2019, the Company invoiced for the final milestone payment for development work, indicating that the Company’s development services obligations have been substantially completed. The milestone payments made by the counterparty relating
to nine fiscal quarters provided only about $4.6 million in margin above the costs incurred in connection with the Company’s related work. The purpose of this contract was to develop enhancements for the Company’s components that the
counterparty was considering for inclusion in its future products. If successful, the Company would be in a position to sell the counterparty relevant components, and the $10 million up-front payment
would be credited against any such future purchases of components (as disclosed in the Company’s Exchange Act reports). There is no assurance that the agreement will lead to the purchase or license by the counterparty of a significant volume of
components or technology. As a result, notwithstanding the significance of the payments in the short term, as a development services agreement, the April 2017 Agreement does not constitute a continuing contract for a major part of the Company’s
products or services and the Company is not substantially dependent on this agreement.

 -2-

Securities and Exchange Commission

August 1, 2019

Division of Corporation Finance

The May 2018 Agreement grants an exclusive license to the Company’s technology for display-only
applications. As part of the agreement, the Company received a first payment of $5.0 million in June 2018 and the second payment of $5.0 million in October 2018. If this counterparty acquires customers for any such applications, it would
be required to purchase needed components from the Company; however, no such purchases can be assured. During 2018, the Company completed the performance obligations required by the contract and, as a result, recognized $10.0 million in license
and royalty revenue during 2018. Like the April 2017 Agreement, while the payments from this agreement were significant in the short term, the Company does not depend on the May 2018 Agreement as its revenue-generating activity pursuant to its
articulated business strategy. In addition, given the nature of the agreement, the uncertainty of the counterparty’s ability to commercialize products that would result in sales of the Company’s components to this counterparty (also like
the April 2017 Agreement), notwithstanding the significance of the payments in the short term, the May 2018 Agreement does not constitute a continuing contract for a major part of the Company’s products or services and the Company is not
substantially dependent on this agreement.

The Company also advises the Staff that it has disclosed in its Exchange Act filings the terms of each of
these agreements that it believes could be material to an investor, including the amounts required to be paid to the Company, the Company’s significant obligations and related risks. As a result, in addition to not being required pursuant to
Item 601 of Regulation S-K, the Company believes that filing these agreements is not necessary for the protection of investors and would not provide investors with meaningful additional information.

*    *    *

The Company acknowledges that it is responsible for the accuracy and adequacy of its disclosures, notwithstanding any review, comments, action or absence of
action by the Staff.

If you have any questions relating to the foregoing, please contact the undersigned at (425)

license agreement signed in May 2018 and the contract services agreement signed in April
2017. We note that substantially all of your revenue for the year ended December 31,
2018 was derived from these agreements. In light of the significance of these agreements

MicroVision, Inc.

 Form
10-K for the Fiscal Year Ended December 31, 2018

 Filed March 6, 2019

File No. 001-34170

Ladies and Gentlemen:

 MicroVision, Inc. (the
“Company”) hereby submits this response to the comment letter dated June 3, 2019 of the staff of the Division of Corporation Finance (the “Staff”) of the Securities and Exchange Commission relating to the
Company’s above-referenced Annual Report on Form 10-K. For your convenience, we have reproduced the Staff’s comment in italics below, followed by the Company’s response.

Form 10-K for the Fiscal Year Ended December 31, 2018

Exhibits

1.
We note the discussion on page 18 within MD&A of the five-year license agreement signed in May 2018 and
the contract services agreement signed in April 2017. Please tell us where you have filed these agreements or how you determined that you did not need to file them pursuant to the requirements of Item 601(b)(10) of Regulation S-K.

 Response to Comment 1:

The Company advises the Staff that it has determined that the two agreements in question are not required to be filed under Item 601(b)(10) of Regulation S-K. As further described below, each referenced agreement is such as ordinarily accompanies the kind of business conducted by the Company and neither such agreement falls within the categories set forth in
subsections (A) through (D) of Item 601(b)(10)(ii). The only category that could potentially apply to the two contracts is Item 601(b)(10)(ii)(B), which requires contracts made in the ordinary course of business to be filed if the
registrant’s business is substantially dependent upon them. The Company is not, however, substantially dependent on either of these agreements, and as a result the agreements are not required to be filed.

 Securities and Exchange Commission

 Division of
Corporation Finance

 June 28, 2019

Each of the referenced agreements ordinarily accompanies the Company’s business as described in its
reports filed with the Securities and Exchange Commission. The Company’s business strategy, as described in the Management’s Discussion and Analysis of Financial Condition and Results of Operations in its Annual Reports on Form 10-K filed with the Securities and Exchange Commission in 2017, 2018 and 2019, has been to commercialize its scanning technology by enabling original equipment manufacturers (OEMs) and original design manufacturers
(ODMs) to produce end-user products via multiple paths, including to “license our LBS technology and sell key components to ODMs and OEMs to create their own scanning engines; and license LBS technology
to ODMs and OEMs …”.

As previously disclosed by the Company, the May 2018 license agreement is a five-year license agreement with a customer
granting the customer an exclusive license to the Company’s laser beam scanning (LBS) technology for limited display-only applications. The Company would provide any related LBS components needed by the customer if it commercializes the
licensed technology. This agreement is consistent with the Company’s announced business plan. As a license of the Company’s technology, the May 2018 license agreement was clearly of the type that ordinarily accompanies the kind of business
conducted by the Company. Further, the Company’s business is not substantially dependent on this agreement. The intellectual property licensed pursuant to the May 2018 agreement permits only a non-core
use of the Company’s technology (“display only”), and the Company does not need to provide any updated intellectual property during the duration of the agreement. While scanning engines with the Company’s technology can operate
in three modes – display only, display and sensing combined, and sensing only – the Company is currently principally focused on the latter two categories. As a result, and given the uncertainty of the customer’s ability to
commercialize products that would result in sales of the Company’s components to this customer, the Company’s business and prospects are not dependent in any meaningful way on the development or commercialization of the technology licensed
pursuant to this agreement.

In April 2017, the Company signed a contract with a technology company to develop an LBS display
system. Under this agreement, the Company would develop a new generation of MEMS, ASIC and related firmware for a high resolution, LBS-based product that the technology company was planning to produce. As a
contract for the development and potential commercialization of products incorporating the Company’s technology, in light of the Company’s business strategy (as described above), this agreement is also clearly of the type that ordinarily
accompanies the kind of business conducted by the Company. It is very common for technology companies to collaborate with one another on the development and commercialization of new potential products, and indeed that has long been a key part of the
Company’s business strategy, as it seeks to license its technology to other companies for incorporation into their engines or other products for projection and other potential uses. The Company’s business is also not substantially
dependent on this contract. While the Company is optimistic about the potential uses of its technology and its long-standing strategy to enter into development contracts with customers, the ultimate commercial success of those arrangements depends
on the extent to which the customer decides to incorporate the Company’s technology into products. Given the uncertainty regarding the customer’s future use of the Company’s technology in its products, and the uncertainty regarding
payments the Company could receive in the future, the Company’s business is not currently dependent in any meaningful way on this contract.

that the amount of royalty revenues recognized in fiscal 2015 related to the upfront fee was $849,000. We expect to recognize the upfront fee on a straight line basis over the term of the agreement, resulting in recognition of approximately $1.0
million ($999,000 to $1,002,000 depending upon leap years) in royalty revenue resulting from the upfront fee in each of the years from 2016 through 2022, and we expect to recognize the residual $151,000 of the upfront fee during the first fiscal
quarter of 2023. On the balance sheet as of December 31, 2015, $1,002,000 of the unrecognized portion of the upfront fee was presented as the current portion of deferred revenue, and the remaining $6,149,000 was presented as the non-current
portion of deferred revenue.

 *     *     *

The Company hereby acknowledges that (i) it is responsible for the adequacy and accuracy of the disclosure in its filings; (ii) Staff comments or
changes to disclosure in response to Staff comments do not foreclose the Commission from taking any action with respect to the filings; and (iii) it is the Staff’s view that the Company may not assert Staff comments as a defense in any
proceeding initiated by the Commission or any person under the federal securities laws of the United States.

We hope that the foregoing has been
responsive to the Staff’s comments. If you have any questions relating to the foregoing, please contact the undersigned at (425) 882-6625, Joel Freedman of Ropes & Gray LLP at (617) 951-7309, or Tom Fraser of Ropes &

Item 7.
Management’s Discussion and Analysis of Financial Condition and Results of Operations

Comment 1: We note you indicate that revision in your estimates related to revenue recognition using the percentage-of-completion method could significantly impact recognized revenue in any one
reporting period. In order to provide better insight to the readers of your financial statements, in future filings please disclose the methodologies and the assumptions you employ to estimate revenue and costs, how accurate the estimates or
assumptions have been in the past, and whether the estimates or assumptions are reasonably likely to change in the future. For further guidance, please refer to Section V of our Release Nos. 33-8350, available on our website at
www.sec.gov/rules/interp/33-850.htm.

Response: The Company acknowledges the comment and confirms that it will provide a better description of
the methodologies and assumptions used to estimate cost and revenue, how accurate the estimates have been in the past and whether the estimates are reasonably likely to change in the future. The proposed language to be included in future filings is
included below:

Revenue Recognition. We recognize contract revenue as work progresses on long-term, cost plus fixed fee and fixed price contracts
using the percentage-of-completion method, which relies on estimates of total expected contract revenue and costs. Our revenue contracts generally include a statement of the work we are to complete and the total fee we will earn from the contract.
When we begin work on the contract and at the end of each accounting period we work with the members of our technical team to estimate the labor and material and other cost required to complete the statement of work compared to cost incurred to
date. We use information provided by project managers, vendors, outside consultant and others as we deem necessary to develop our cost estimates. Since our contracts generally require some level of technology development to complete, the actual cost
required to complete a statement of work can vary from our estimated cost to complete. We have developed processes that allow us to make reasonable estimates of the cost to complete a contract. Historically we have made only immaterial revisions in
the estimates to complete the contract at each reporting period. Recognized revenues are subject to revisions as the contract progresses to completion and actual revenue and cost become certain. Revisions in revenue estimates are reflected in the
period in which the facts that give rise to the revision become known. In the future, revisions in these estimates could significantly impact recognized revenue in any one reporting period. If the U.S. Government cancels a contract, we would receive
payment for work performed and costs committed to prior to the cancellation.

Item 8.
Financial Statements and Supplementary Data

 Comment
2: Please explain to us why your classification of “increase in deferred rent” as a financing activity is in accordance with U.S. GAAP. Revise future filings as necessary based on our comment.

Response: The Company acknowledges the comment and confirms that the “increase in deferred rent” should be presented in the cash flows from operating
activities. The Company will revise future filings to reflect the change in cash flows from operating activities and financing activities for the year ended December 31, 2008.

Management prepared a SAB 99 memorandum reviewing the cash flow error and concluded that the error was immaterial for the years ended 2006 and 2005. This memorandum was also reviewed by the Company’s independent
registered public accounting firm who agreed with management’s conclusion and by the Company’s Audit Committee. Management considered this error as an immaterial correction under SFAS 154 and will correct the 2006 statement of cash flows
in its 2008 Form 10-K.

Among other things the Company considered the materiality of the error on the 2006 and 2005 Statement of Cash Flows. The error
resulted in a 4.5% and 6.1 %, error in the “cash flows from financing activities” and a 3.8% and 7.6% misstatement in the cash flows from operating activities for 2006 and 2005 respectively. The “Net increase/decrease in
cash” was not impacted. As a technology development company, we have a history of losses and negative cash flow from operating activities. It is very unlikely that an investor would change an investment decision based on a relatively small
change in the cash flow from operations.

 Summary of significant accounting policies

Comment 3: We note that you consider all investments that contractually mature within 90 days of the date of purchase to be cash equivalents.
Note that cash equivalents are short-term, highly liquid investments that are readily convertible to known amounts of cash. Please refer to paragraph 8 of SFAS 95 and confirm that amounts presented as cash equivalents in your financial
statements comply with the guidance at SFAS 95. Revise your disclosure if necessary in future filings based on our comment.

 Response: The
Company acknowledges the comment and confirms that the cash, cash equivalents and investment securities, available-for-sale are highly liquid and readily convertible to cash with original maturities of less than 90 days and meet the requirements of
SFAS 95 to be classified as cash and cash equivalents. Below is a more detailed description of the balance:

Please note that the money market and savings accounts are interest bearing accounts that can be converted to cash
immediately.

Comment 4: We note that you have experienced failed auctions on your auction rate securities. Please explain to us
why you concluded you do not have an “other than temporary” impairment of your auction rate securities. Please cite the applicable U.S. GAAP that supports your conclusion.

Also in this regard, please include all applicable disclosures required by paragraph 17 of FSP FAS 115-1 and 124-1 in future filings. Please provide us with your proposed future disclosures.

Response: : At December 31, 2007, we were holding two auction-rate debt securities (“ARS”) issued by major student loan granting and
administration entities, and four issued by municipalities for public works projects, totaling $8.8 million. All of the ARSs were AAA rated. The ARSs are accounted for as available-for-sale securities under FAS 115. After considering accounting
guidance and factors related to the valuation of the securities, we estimated a fair value for the ARSs pursuant to Step 1 of the 3 steps of FSP FAS 115-1, and then concluded that there was no impairment of value, neither “other than
temporary” or “temporary as of December 31, 2007. As of December 31, 2007 our cost was equal to par and to the fair value estimate of the ARSs.

In valuing the ARSs, we considered the effective interest rate on the bond, prevailing rates for similarly rated and structured bonds, liquidity, interest risk, and the current market environment. We also considered
fair values published by valuation firms, our own sales transactions, and our own additional diligence.

 Since December 31, we have
sold $5.5 million of the $8.8 million in ARSs held at year-end, including $2.6 million from ARSs where there had been failed auctions, all at par value. $4.5 million were sold prior to the filing date of the 2007 Form 10K and another $1.1 million
was sold in early April, 2008.

As of the filing date of the 2007 Form 10K, we held three ARSs where there had been failed auctions with a
total value of $4.3 million. The ARSs were issued by one municipality and two student loan granting and administration entities. We performed significant diligence on the ARSs as part of our value estimation process. The diligence performed by the
Company included:

•

Rating of the ARSs – All of the ARSs in the Company’s portfolio have maintained an AAA rating. During the last week of Feb. 2008, S&P and Moody’s
both affirmed the AAA rating of Ambac and MBIA, the two entities insuring ARSs held by MVIS as of year-end. In addition, there were no changes in the ratings of the underlying issuers themselves.

 Mr. Jay Webb, Reviewing Accountant

 Division of Corporation Finance

 May 1, 2008

  Page
 5

•

Capitalization of insurers of our ARSs – The insurers have raised capital and taken other actions, such as eliminating dividends, to improve their financial
position and maintain AAA ratings. On February 13, 2008, MBIA closed on $1.1 billion of financing. Within the two months prior to that, it had closed on transactions totaling another 1.5 billion. On March 5, 2008, Ambac announced it
planned to raise $1.5 billion. The transactions totaling $1.5 billion closed on March 12, 2008.

•

Developments in the market and ARS sales – Our discussions with bankers and representatives from the ARS issuers indicate that actions taken by the Federal
Government were helping to improve stability and liquidity in the debt markets. Issuers are moving aggressively to restructure their ARSs into more conventional debt instruments such as fixed rate long term bonds. We considered if we were in a
position of needing to sell the ARSs, would we be able to do so. We have been able to sell ARSs at par in the current markets, even for some with failed auctions, and ongoing corrective actions within the market by authorities and others will only
serve to improve stability and liquidity of the market going forward. We concluded we would not likely have to sell our ARSs at loss within the time frames we may possibly need the cash.

•

Review of underlying collateral and ability to repay – We reviewed financial reports of the issuing entities noting no significant changes in collateralizing
asset values or cash flows supporting repayment. We reviewed the collection reports of the student loan collateralized ARSs we held, noting no significant increase in delinquency rates. A large portion of the student loans supporting those ARSs are
in federally guaranteed or state guaranteed student loan programs. For the municipal issued ARS held at the filing date, repayment is secured by the water and sewer fees collated by the municipality. Per our discussions with the ARS issuers near the
filing date there were no significant changes in the values of the collateral and cash inflows supporting repayment.

•

Change in liquidity/interest rates – A decline in liquidity in the credit markets was the primary cause of auction failures. The interest rates on the ARSs
with a failed auction reset to a maximum rate that is higher than the prevailing rates for such securities. None of the ARSs we held had an auction failure prior to February, 2008. Upon first auction failure, the rates reset approximately as
follows.

 Mr. Jay Webb, Reviewing Accountant

 Division of Corporation Finance

 May 1, 2008

  Page
 6

 • Municipal ARS

from 5.5%

to 6.5%

 • Student loan ARS #1

from 7.0%

to 9.5%

 • Student loan ARS #2

from 5.5%

to 18.0%

The increased rates represent compensation for the reduced liquidity resulting from failed auctions
and an incentive to issuers to work to make auctions successful and/or refinance. The Company concluded that the change in the interest rate would result in an increase in the value of the ARSs greater than the reduction in value caused by the
decrease in liquidity.

•

Valuation services and advisor consultation – The Company uses Interactive Data Corp. (“IDC”) to provide valuation for its ARS. The Company considers
published values from IDC as a part of its overall valuation process. IDC did not report a reduction in value for the ARSs held by the Company. Discussions with our investments advisor also supported our and IDCs valuation estimate with no reduction
in value.

In conclusion, the ARSs market values were not less than cost as of December 31, 2007 or through the date
of filing the 2007 Form 10-K. In our opinion, based on our value estimations and diligence outlined above, the financial condition and near-term prospects of the insurers, issuers and guarantors, as well as underlying factors such as specific events
or circumstances that may influence the operations of the insurers, issuers and guarantors do not raise sufficient concerns about the insurers’, issuers’ and guarantors’ liquidities for us to conclude there were impairments to the
values of our ARSs and are appropriately valued at par which was our cost. Microvision has the ability and intention to retain its investment for a period that will be sufficient to allow for recovery in the auction process or, as it has done,
through sales on the open market. We also believe the ARSs will be converted to cash within a year of the balance sheet date.

Disclosures required under FSP 115-1 at paragraph 17:

Paragraph 17 is applicable to “…investments in an
unrealized loss position…”. None of the ARSs had unrealized losses as of December 31, 2007 or the filing date. If we develop unrealized losses in the ARSs, we will follow this guidance for appropriate disclosure with respect to the
ARSs.

Comment 5: Please revise your disclosure in future filings to include a description of the
transactions with each related party and the terms and manner of settlement of each arrangement with your related party. Refer to paragraph 2 SFAS 57.

Response: The Company acknowledges the comment and confirms that it will provide a better description of the transactions in the future. Please note that the description below was included in previous filings and was removed from the
2007 form 10K in order to reduce redundant and out of date disclosure. The proposed language is included below:

 In 2000, the Board of
Directors authorized the Company to provide unsecured lines of credit to each of the Company’s three senior officers. The limit of the line of credit was three times the executives’ base salary less any amounts outstanding under the
Executive Option Exercise Note Plan. In 2002 and 2001, the Board of Directors authorized additions totaling $700,000, to the limit for one senior officer. The lines of credit carry interest rates of 5.4% to 6.2%. The lines of credit must be repaid
within one year of the senior officer’s termination or within thirty days of demand by the Company in the event of a plan termination, provided that in the event of such a demand the senior officer may elect to deliver a promissory note with a
one-year term in lieu of payment. At December 31, 2007 and 2006, a total of $2,496,000 and $2,723,000, respectively, was outstanding under the lines of credit.

In 2002, the Company determined that certain of its senior officers may have

Re:
Microvision, Inc.

 Schedule TO-I filed April 18, 2006

 SEC File Number 5-51199

 Ladies and Gentlemen:

On behalf of Microvision, Inc. (the “Company”), submitted herewith for
filing is Amendment No. 2 (“Amendment No. 2”) to the Schedule TO-I referenced above (the “Schedule TO”).

Amendment No. 2 is being filed in response to comments contained in the letter dated April 25, 2006 from Mara L. Ransom of the Staff (the “Staff”) of the Securities and Exchange Commission (the “Commission”) to
Thomas Walker, the Company’s Vice President and General Counsel. The comments and responses set forth below are keyed to the numbering of the comments and the headings used in the Staff’s letter and are based upon information provided to
Ropes & Gray LLP by the Company. Where appropriate, the Company has responded to the Staff’s comments by making changes to the disclosure in the Schedule TO as set forth in Amendment No. 2. Page numbers referred to in the
responses reference the applicable pages of Amendment No. 2.

On behalf of the Company, we advise you as follows:

 Securities and Exchange Commission

- 2 -

April 28, 2006

 Schedule TO

Exhibit (a)(1) – Offer to Exchange

1.
We note your indication throughout your offering materials that you intend to separately amend the terms of the “automatically repriced options” that are not subject to
this offer to lower their exercise prices to the exercise price of the new options. Why is this repricing being conducted outside of this tender offer? Please revise to explain.

Response: The Company’s 1996 Stock Option Plan, as amended (the “Plan”) and its various Non-Qualified Stock Option Agreements
granted outside of the Plan (the “Non-Plan Agreements”) each permits the modification or amendment of outstanding options granted under the Plan or a Non-Plan Agreement without the consent of the optionholder, as long as such modification
or amendment does not impair or diminish any of the optionholder’s rights. Since the only change that will be made to the automatically repriced options will be the lowering of the exercise price, which is not an adverse change, no decision
needs to be made by the holders of the options and as such are not included in the offer to exchange. The Company has revised the Offer to Exchange, included as Exhibit (a)(3) of the Schedule TO-I (the “Offer to Exchange”) to make this
clear in response to the Staff’s comment. Please see page 9 of the Offer to Exchange.

2.
You also mention throughout your offering materials that “there may be some delay as to [optionholder’s] ability to exercise the vested portion of [their] new
options.” Please revise to elaborate upon why such a delay might exist. Considering we would expect you to pay the consideration in the offer (i.e. issue the new options) promptly upon expiration of the offer, it would be helpful to understand
why there might be a delay to exercising the options.

Response: The Company intends to grant new options promptly,
but due to the time involved in preparing individual option agreements reflecting the new price, the Company anticipates a short delay between the time the offer expires and the distribution of the new option agreements to its employees. The actual
length of the delay will depend on the number of participants in the offer, but the Company does not anticipate that it will be any longer than two weeks. However, during this period, any employee who has elected to participate in the offer will
have the ability to exercise his or her new options if they so choose by contacting the Options Desk. In response to the Staff’s comments, the Company has revised the Offer to Exchange to clarify this matter. Please see page 14 of the Offer to
Exchange.

 Summary Term Sheet

3.
In “Where can I find out more information on the stock options that have been issued to me?” and on page 9 you indicate that option holders will receive a personalized
election form, which will be delivered to them within the next week. We presume that this election form is, in substance, what you have filed as Exhibit (a)(3) to the Schedule TO-I. If option holders must wait to receive the personalized election
form in order to tender, tell us why you believe that you have left the offer open for the requisite amount of time, pursuant to Rule 13 e-4 (f)(1)(i) and 14e-1(a).

Response: The language in the Amended and Restated Form of Election Form included as Exhibit (a)(3) to the Schedule TO-I/A filed on April 24,
2006 (the “Election Form”) is identical to the personalized form that was sent to each employee. The only additional information that was included in the personalized election forms sent to each employee was that employee’s name and a
detailed listing of that employee’s options, which is information the employee already had. Since there was no additional information included in the personalized form that could affect an employee’s decision to participate, the employees
have the benefit of the full 20 days to consider the offer with all material information. However, in response to the Staff’s comments, we have indicated that employees are able to use the blank form of election form which was provided to all
employees along with the offer. Please see page 9 of the Offer to Exchange.

4.
In “How does this offer work?” you indicate that the vesting schedule of the new options “will begin on the replacement grant date, with 25% of the new options
vesting immediately on that date.” What if option holders were vested as to a greater amount than 25%? Will their vesting terms have been reduced? If so, please revise to state this or clarify, if true, that no eligible options have vested in
excess of this percentage.

Response: To the extent that an employee has options that are vested more than 25% and
they elect to exchange those options, the vesting of the new options will be at only 25% upon the replacement grant date, with an additional 25% vesting on each anniversary of the grant date for three years. Thus, any such holder will have less
vested immediately after the exchange offer is consummated. In response to the Staff’s comments, the Company has revised the Offer to Exchange to clarify this matter. Please see page 2 of the Offer to Exchange.

5.
Also, consider providing an example as to how an option holder’s existing options will differ as compared to the terms of the new options. In doing so, please emphasize the
point you make here that the expiration date of the eligible options will not change, such that if less than 3 years remain until the expiration date of the eligible options, the new options issued in exchange will never fully vest.

Response: In response to the Staff’s comments, the Company has revised the Offer to Exchange to include an
illustration of the impact of the exchange on options with terms that expire sooner than the vesting schedule of the new options. Please see page 11 of the Offer to Exchange.

 Securities and Exchange Commission

- 4 -

April 28, 2006

6.
See “When will I receive my new options?” and your indication that “additional time may be required to make the new options available to [the optionholderl and
provide [them] with documentation of the grant” and, in response to the question that follows, that option holders will receive their new option agreement within approximately three weeks of the replacement grant date. What will option holders
receive reflecting their receipt of consideration in the offer, if not the documentation of the grant itself? Please advise with a view towards satisfying the requirement that you promptly pay consideration after the expiration of the offer pursuant
to Rule 13e-4(f)(5) and Rule 14e-1(c).

Response: Please see our response to Item 2 above. The Company has
revised the Offer to Exchange to clarify this matter in response to the Staff’s comments. Please see page 14 of the Offer to Exchange.

 The Offer, page 9

7.
Revise your disclosure in the section entitled “Determination of Validity; Rejection of Options.” and on page 13 under “Acceptance of options for exchange.”
to clarify that you will pay the exchange consideration promptly following the expiration of the offer, not that you will promptly accept the options for exchange. Refer to Rules 13e-4(f)(5) and 14e-l(c).

Response: Please see our response to Item 2 above. The Company has revised the Offer to Exchange in response to the Staff’s comments to
clarify that new options will be granted promptly following the expiration of the offer.

 Conditions of the Offer, page
14

8.
See the first paragraph, which relates to the company’s determination whether the triggering of a condition “makes it inadvisable” to proceed with the offer.
Please note that, when a condition is triggered and the company decides to proceed with the offer anyway, we believe that this constitutes a waiver of the triggered condition(s). You may not rely on this language to tacitly waive a condition of the
offer by failing to assert it. Please confirm your understanding on a supplemental basis.

 Response: The Company
confirms its understanding that it may not rely on the referenced language to tacitly waive a condition of the offer by failing to assert it.

9.
A tender offer may only be subject to conditions that are drafted with sufficient specificity to allow for objective verification that the conditions have been satisfied. In this
regard, we note the following:

 Securities and Exchange Commission

- 5 -

April 28, 2006

•
the references to “threatened” in the first and second bullet points;

•
the references to “indirectly” in the first and second bullet points;

•
the references to “contemplated benefits of the offer” the first and second bullet points; and

•
the reference to “significant” in the third bullet point.

Please revise to clarify the conditions in accordance with this comment.

 Response: In
response to the Staff’s comment, the Company has revised the conditions to the Offer to Exchange. Please see pages 14 and 15 of the Offer to Exchange.

10.
The disclosure in the last bullet point states that your offer may be terminated if “any change or changes shall have occurred or are pending in the business, condition
(financial or other), assets, income, operations, prospects or stock ownership of Microvision that, in (y)our reasonable judgment, is or may be material to Microvision.” This condition appears to include both positive and negative effects on
the business and may be so broad as to render the offer illusory because your reference to “is or may be” material is too vague to allow an option holder to judge the scope of this condition. Please revise your disclosure to clarify those
changes or events that would allow termination of the offer.

Response: In response to the Staff’s comment,
the Company has revised the Offer to Exchange to remove the last bullet point.

 Information concerning Microvision,
page 17

11.
We note that you have incorporated by reference the financial information required by Item 1010(a) of Regulation M-A and have provided some of the summary information
required by Item 1010(c) of Regulation M-A. It does not, however, appear that you have included all of the summary information required by Item 1010(c); specifically, it does not appear that Items 1010(c)(4) or (5) have been provided.
Please revise to include this information and disseminate the additional summary financial information to option holders.

Response: In response to the Staff’s comment, the Company has revised the Offer to Exchange to include the information required by Items 1010(c)(4) and (5). Please see page 18 of the Offer to Exchange.

 Miscellaneous, page 22

12.
You refer to Lurnera’s business, towards the end of this discussion. Please revise to clarify why you refer to Lumera.

 Securities and Exchange Commission

- 6 -

April 28, 2006

Response: The Company included the reference to Lumera Corporation because the capital
stock it owns in Lumera represents a significant portion of the Company’s potential financial resources, and thus the performance of Lumera’s capital stock has an effect on the Company’s available capital, which impacts its future
success. In response to the Staff’s comment, the Company has revised the language to clarify this point.

		File No. 333-123902

Dear Mr. Walker:

We have limited our review of your filing to those issues we
have addressed in our comments. Where indicated, we think you
should
revise your filings in response to these comments. If you
disagree,
we will consider your explanation as to why our comment is
inapplicable or a revision is unnecessary. Please be as detailed
as
necessary in your explanation. In some of our comments, we may
ask
you to provide us with information so we may better understand
your
disclosure. After reviewing this information, we may raise
additional comments.

Please understand that the purpose of our review process is
to
assist you in your compliance with the applicable disclosure
requirements and to enhance the overall disclosure in your filing.
We look forward to working with you in these respects. We welcome
any questions you may have about our comments or any other aspect
of
our review. Feel free to call us at the telephone numbers listed
at
the end of this letter.

Amendment No. 2 to Registration Statement on Form S-3

1. We note that you have amended and restated your senior secured
convertible notes to revise some of the more material terms of
those
notes and that you have issued additional warrants to your
investors
in connection with your sale and amendment of those notes. We
also
note that you did not withdraw your registration statement prior
to
renegotiating the terms of the senior secured convertible notes.
Since the initial resale transaction was not consistent with our
guidance regarding PIPE transactions at the time of filing and you
renegotiated the transaction while the registration statement was
pending, we believe it would be appropriate to provide disclosure
regarding the fact that this transaction may be inconsistent with
Section 5 of the Securities Act of 1933 and any resulting
liability.

*          *          *

As appropriate, please amend your registration statement in
response to these comments. You may wish to provide us with
marked
copies of the amendment to expedite our review. Please furnish a
cover letter with your amendment that keys your responses to our
comments and provides any requested information. Detailed cover
letters greatly facilitate our review. Please understand that we
may
have additional comments after reviewing your amendment and
responses
to our comments.

We direct your attention to Rules 460 and 461 regarding
requesting acceleration of a registration statement. Please allow
adequate time after the filing of any amendment for further review
before submitting a request for acceleration. Please provide this
request at least two business days in advance of the requested
effective date.

Please contact Tim Buchmiller at (202) 551-3635 if you have
any
questions.

portions
of your registration statement that relate to the comments below.
We
anticipate at this time that no further review of your
registration
statement and the documents incorporated by reference therein will
be

included in this letter, and (ii) your responses to the comments
we
previously issued on your Annual Report on Form 10-K for the year
ended December 31, 2004 that has been incorporated by reference
into
your registration statement. In addition, we are monitoring your
registration statement for the filing of a definitive proxy
statement
or an amendment to your Annual Report on Form 10-K for the year
ended
December 31, 2004 which includes the Part III information required
to
be included or incorporated by reference into your Annual Report

Where indicated, we think you should revise your filing in

your
explanation as to why our comments are inapplicable or a revision

any questions you may have about our comments or on any other
aspect
of our review. Feel free to call us at the telephone numbers

at the end of this letter.

General

1. We note that holders of your senior secured exchangeable
convertible notes have the right to elect to convert their notes
into
shares of your common stock or into shares of common stock of
Lumera
Corporation that you currently hold. Given these future
elections,
please supplementally explain why the registration of the resale
of
the shares of your common stock that may be received by the note
holders at this time is consistent with our guidance regarding
PIPE
transactions set forth in paragraph (b) of Telephone
Interpretation
No. 3S included in the Securities Act section of the March 1999
supplement to our Manual of Publicly Available Telephone
Interpretations.
Registration Fee Table
2. Please supplementally provide us with a detailed explanation of
how you calculated the number of shares of common stock to be
registered. Please note that we may have further comments once we
have the opportunity to review your response.

Private Placement of Notes and Warrants - Page 9
3. We note your disclosure that you issued senior secured
exchangeable convertible notes in the aggregate principal amount
of
$10.0 million and warrants to purchase shares of your common stock
for an aggregate purchase price of $10.0 million. We also note
your
disclosure in the last paragraph of this section that the warrants
are exercisable for 462,330 shares of your common stock at an
exercise price of $6.84 per share, implying that the aggregate
amount
of capital that you would raise if all of the warrants were
exercised
at the stated exercise price would be approximately $3.16 million.
Please revise your disclosure so that the following is clear to
your
investors:
* The aggregate amount you received as purchase consideration as a
result of the issuance of the senior secured exchangeable
convertible
notes and the warrants; and
* The aggregate amount that you would be entitled to receive upon
exercise of the warrants (assuming that all of the warrants are
exercised at the exercise price indicated in your disclosure).
4. Please clarify when the convertible notes may be converted by
the
holders into shares of your common stock or exchanged by the
holders
for shares of Lumera common stock.
5. Please clarify when and at what intervals the accrued interest
on
and the principal of the convertibles notes becomes payable.
6. Please revise to clarify the conditions under which you would
have
the option to pay the outstanding principal of and accrued
interest
on the convertible notes with shares of your common stock or
shares
of Lumera common stock. Please also clarify the conditions (other
than the condition that your common stock trade at or above $11.97
for a prescribed period) under which you would have the right to
mandatorily convert the convertible notes into shares of your
common
stock.

*          *          *

As appropriate, please amend your registration statement in
response to these comments. You may wish to provide us with
marked
copies of the amendment to expedite our review. Please furnish a
cover letter with your amendment that keys your responses to our
comments and provides any requested supplemental information.
Detailed cover letters greatly facilitate our review. Please
understand that we may have additional comments after reviewing
your
amendment and responses to our comments.

We urge all persons who are responsible for the accuracy and
adequacy of the disclosure in the filings to be certain that they
have provided all information investors require for an informed
decision. Since the company and its management are in possession
of
all facts relating to a company`s disclosure, they are responsible
for the accuracy and adequacy of the disclosures they have made.

Notwithstanding our comments, in the event the company
requests
acceleration of the effective date of the pending registration
statement, it should furnish a letter, at the time of such
request,
acknowledging that:

* Should the Commission or the staff, acting pursuant to delegated
authority, declare the filing effective, it does not foreclose the
Commission from taking any action with respect to the filing;
* The action of the Commission or the staff, acting pursuant to
delegated authority, in declaring the filing effective, does not
relieve the company from its full responsibility for the adequacy
and
accuracy of the disclosure in the filing; and
* The company may not assert staff comments and the declaration of
effectiveness as a defense in any proceeding initiated by the
Commission or any person under the federal securities laws of the
United States..
In addition, please be advised that the Division of
Enforcement
has access to all information you provide to the staff of the
Division of Corporation Finance in connection with our review of
your
filing or in response to our comments on your filing.

We will consider a written request for acceleration of the
effective date of the registration statement as a confirmation of
the
fact that those requesting acceleration are aware of their
respective
responsibilities under the Securities Act of 1933 and the
Securities
Exchange Act of 1934 as they relate to the proposed public
offering
of the securities specified in the above registration statement.
We
will act on the request and, pursuant to delegated authority,
grant
acceleration of the effective date.

If you have any questions, please call Tim Buchmiller at

Form 10-K/A for the Fiscal Year Ended December 31, 2004

File No. 000-21221

 Dear Mr. Webb:

 On behalf of Microvision, Inc.
(the “Company”), I am writing to respond to the staff’s comments in your letter to Jeff T. Wilson’s attention dated April 12, 2005 (the “Comment Letter”) relating to the Company’s Form 10-K and 10-K/A for the
fiscal year ended December 31, 2004.

Set forth below are responses to the
specific comments made in the Comment Letter.

 Form 10-K for the Fiscal
Year Ended December 31, 2004

 Results of Operations

1.
Comment. We note in your analysis of results of operations in the MD&A that until October 2004, you classified Nomad production costs in excess of product revenue
as research and development expense. Based on the fact that you recorded sales of the Nomad product, please tell us how you concluded that any portion of the costs of production were properly allocated to research and development expense.
Support your assertions with references to the authoritative generally accepted accounting principles that support your accounting and presentation of such costs. Additionally, please tell us the amounts charged to cost of product revenue and
research and development related to the Nomad product in each of the periods presented. We may have further comment based on your response.

Response: Microvision began producing the current version of Nomad in February, 2004. The Nomad is being produced using a new production
line at our facility in Bothell, Washington. During the first seven months of production we were refining our production techniques and evaluating alternative components and designs. During this

 phase of production,
we believe that our activities met the criteria described in FASB Statement No. 2 paragraphs 9(e),(h) and (i) for activities that should be included in research and development expense These activities and their relationship to the FASB standard
are:

 e. Modification of the formulation or design of a
product or process – During this period there were ongoing design changes related to components and tolerances for materials and components.

 h. Design, construction, and operation of a pilot plant that is not of a scale economically feasible to the enterprise for commercial production
– During this time period the production processes were being scaled up and were not sufficiently mature to support commercial production.

 i. Engineering activity required to advance the design of a product to the point that it meets specific functional and economic requirements and is
ready for manufacture – During this time there was a high level of engineering involvement in refining the design and components to achieve the functional requirements around image quality and product stability to meet customer
requirements.

During this period, the Company recorded the
sales of the Nomad units as revenue and classified costs to produce the units to cost of product revenue, only up to the amount of revenue recorded. The amount that would have been classified as cost of product revenue if the Company had used full
absorption cost accounting beginning in February 2004 would have been $73,000, $246,000 and $451,000 for the first, second and third quarter of 2004, respectively. The Company disclosed in its filings with the SEC that the cost to produce Nomad was
substantially higher than product revenue and that excess production cost was recorded as research and development expense.

Beginning in October of 2004, the Company determined that the production line and Nomad product design were complete and could support commercial
production of the Nomad product and therefore began full absorption of manufacturing overhead at this time.

2.
Comment. We see that your cost of product revenue in 2004 includes the write off of $764,000 of Flic inventory and $479,000 of Nomad inventory. Were any of these
inventory items subsequently sold? If so, were they sold at prices above their new cost basis? What was the impact of any such sales upon gross profit margins? Why doesn’t your Schedule II disclose inventory reserve balances and activity?
Please revise future filings to address our concerns.

 Response:
During 2004, the Company did not sell any products that were previously written off. Pursuant to the guidance in SEC Staff Accounting Bulletin No. 100 Restructuring and Impairment Charges, the Company considers write-downs of inventory to
be permanent adjustments to the cost of the inventory and not a valuation reserve against the value of the inventory and, accordingly, has not included the write-downs in the Schedule II disclosure of reserves and activity. If any of the goods that
were written down are subsequently sold at prices above their new cost basis, the Company will disclose the amount of the sales and the impact on gross margin during the period.

3.
Comment. Please tell us and revise future filings to disclose the nature and significance of the profit incentives included in your development contracts, and how you
determine that realization is assured in accordance with the provisions of paragraph 54 of SOP 81-1.

Response: The Company enters into both cost plus and fixed fee type contracts. These contracts do not generally include profit incentives,
and we entered into no contracts with profit incentives in any of the years ended December 31, 2002, 2003 or 2004.

Note 12. Warrants and Note 13. Options

4.
Comment. We note that stock-based compensation expense recorded in the periods presented includes expense related to options and warrants issued by both Microvision
and Lumera. Please revise future filings to include all of the applicable disclosures required by paragraphs 46-48 of SFAS 123 related to stock options and warrants issued by Lumera.

Response: The Company will include the required disclosure in
its future filings. Please note that a complete set of Lumera’s Financial statements, including the disclosures required by paragraphs 46-48 of SFAS 123, was included in the Company’s 10-K/A, Amendment No. 2.

 Note 19. Subsequent Event

5.
Comment. We see that in March 2005 you raised $10,000,000 before issuance costs, from the issuance of senior secured exchangeable convertible notes and warrants. We
also see the Notes are convertible on demand by the holders into Microvision common stock at a conversion price of $6.84 per share of Microvision common stock and exchangeable on demand by the holders into Lumera common stock at an
exchange price of $5.64 per share of Lumera common stock. Please supplementally tell us how you plan to account for the conversion and exchange features of these Notes. We may have further comments after reviewing your response.

 Response: We reviewed the terms
and conditions of the notes considered the guidance in FAS 133 related to embedded derivatives and APB 14.

After reviewing the above guidance, the Company concluded that the right of the counterparty to convert the notes into Microvision common stock or to
exchange into Lumera common stock is a single embedded derivative instrument because each option is mutually exclusive. The Company will bifurcate this embedded derivative instrument from the debt instrument and record it as a derivative liability.
Future changes in the fair value of the embedded derivative instrument will be recorded to earnings.

The Company also concluded that the detachable warrants would also meet the definition of a derivative under FAS 133, after considering the additional
conditions for equity classification required by EITF 00-19.

Accordingly, following FAS 133, the proceeds of the debt were first allocated to the derivative contracts based on their fair value and the host debt contract receives the “residual.”

The fair value of the derivatives were determined using a Black-Scholes
option-pricing model. The conversion/exchange option was valued at the higher of the two values (at inception this was the Lumera conversion option). This analysis resulted in a value of $2,954,000 being allocated to the conversion/exchange
derivative.

The fair value of the attached warrant derivative
was also calculated using a Black-Scholes model at $1,651,000.

The allocation of proceeds on day 1 was as follows:

 Dr. Cash

$
10,000,000

 Dr. Discount on Notes Payable

$
4,605,000

 Cr. Notes Payable (face)

$
10,000,000

 Cr. Derivative Liability

$
4,605,000

 Subsequent
Accounting

In accordance with FAS 133, at each subsequent
balance sheet date the derivatives will be revalued to fair value.

Both the conversion option into Microvision shares and the exchange option into Lumera shares will be valued. The conversion/exchange derivative value will be the higher of the two – as this is the option the holder would exercise. The
change in the value of the option will be recorded in the income statement as other expense (income).

In accordance with EITF 00-27, the discount on the notes will be accreted over the period in which conversion can occur, which is until the maturity date
of the debt. In essence, because there are six discrete maturity dates, each representing one-sixth of the principal, the effective interest method will be applied to each of the six tranches individually, such that there is no debt discount at each
installment’s maturity date The discount amortization resulting from the value of the warrants and the discount from the proceeds allocation to the embedded derivative instrument, will be debited to interest expense using the effective interest
method.

 Item 9A. Controls and Procedures

6.
Comment. We note your disclosure that management has concluded that your disclosure controls and procedures “were, in design and operation, effective to ensure
that information required to be disclosed in the reports the Company files or submits under the Exchange Act is recorded, processed summarized and reported within the time periods specified by the SEC’s rules and forms.” The language that
is currently included after the word “effective” in your disclosure appears to be superfluous, since the meaning of “disclosure controls and procedures” is established by Rule 13a-15(e) of the Exchange Act. However, if you do not
wish to eliminate this language, please revise so that the language that appears after the word “effective” is substantially similar in all material respects to the language that appears in the entire two-sentence definition of
“disclosure, controls and procedures” set forth in Rule 13a-15(e).

Response: Paragraph (a) of Item 9A of the Company’s Form 10-K/A, Amendment No. 2, has been revised as follows:

“(a) Evaluation of disclosure controls and procedures. The Chief Executive Officer and the Chief Financial Officer evaluated our disclosure
controls and procedures (as defined in Rules 13a- 15(e) and 15-d-15(e) under the Securities and Exchange Act of 1934) prior to the filing of this annual report. Based on that evaluation, they concluded that, as of the end of the period covered by
this annual report, our disclosure controls and procedures were, in design and operation, effective.”

 Exhibits 31.1 and 31.2

7.
Comment. We note that the certifications filed as Exhibits 31.1 and 31.2 were not in the proper form. The required certifications must be in the exact form prescribed;
the wording of the required certifications may not be changed in any respect, except for the modifications temporarily permitted to be made to the fourth paragraph of the certification required to be filed as Exhibit 31.1 pursuant to Part III.E of
Release No. 8238. Accordingly, please file a second amendment to your Form 10-K that includes the entire filing, including the financial statements of Lumera Corporation, together with the certifications of each of your current CEO and CFO in the
form currently set forth in Item 601(b)(31) of Regulation S-K.

Response: The Company’s Form 10-K/A, Amendment No. 2, includes the entire filing, including the financial statements of Lumera Corporation, together with the certifications of the Company’s
current Chief Executive Officer and Chief Financial Officer in the form currently set forth in Item 601(b)(31) of Regulation S-K.

The Company acknowledges that: (1) the Company is responsible for the adequacy and accuracy of the disclosure in the filing, (2) staff comments or changes to disclosure
in response to staff comments do not foreclose the Commission from taking any action with respect to the filing; and (3) the Company may not assert staff comments as a defense in any proceeding initiated by the Commission or any person under the
federal securities laws of the United States.

We intend to call you in the
next day or so to get your thoughts on our responses. Thank you for your assistance.

Very truly yours,

 /s/ Jeff T. Wilson

Form 10-K for the Fiscal Year Ended December 31, 2004

Results of Operations

1. We note in your analysis of results of operations in the MD&A
that
until October 2004, you classified Nomad production costs in
excess
of product revenue as research and development expense. Based on
the
fact that you recorded sales of the Nomad product, please tell us
how
you concluded that any portion of the costs of production were
properly allocated to research and development expense. Support
your
assertions with references to the authoritative generally accepted
accounting principles that support your accounting and
presentation
of such costs. Additionally, please tell us the amounts charged
to
cost of product revenue and research and development related to
the
Nomad product in each of the periods presented. We may have
further
comment based on your response.
2. We see that your cost of product revenue in 2004 includes the
write off of $764,000 of Flic inventory and $479,000 of Nomad
inventory. Were any of these inventory items subsequently sold?
If
so, were they sold at prices above their new cost basis? What was
the impact of any such sales upon gross profit margins? Why
doesn`t
your Schedule II disclose inventory reserve balances and activity?
Please revise future filings to address our concerns.

Note 2. Summary of Significant Accounting Policies

Revenue Recognition

3. Please tell us and revise future filings to disclose the nature
and significance of the profit incentives included in your
development contracts, and how you determine that realization is
assured in accordance with the provisions of paragraph 54 of SOP

1.

Note 12. Warrants and Note 13. Options

4. We note that stock-based compensation expense recorded in the
periods presented includes expense related to options and warrants
issued by both Microvision and Lumera. Please revise future
filings
to include all of the applicable disclosures required by
paragraphs
46-48 of SFAS 123 related to stock options and warrants issued by
Lumera.

Note 19. Subsequent Event

5. We see that in March 2005 you raised $10,000,000 before

price
of $5.64 per share of Lumera common stock. Please supplementally
tell us how you plan to account for the conversion and exchange
features of these Notes. We may have further comments after
reviewing your response.

Act.
However, if you do not wish to eliminate this language, please

with the certifications of each of your current CEO and CFO in the
form currently set forth in Item 601(b)(31) of Regulation S-K.
