Note 1. Summary of Significant Accounting Policies –
Loans, page 56

    1.
Please provide us with and revise future filings to include the following as it relates to your troubled debt restructurings (TDRs):

    ·
    A description of how you identify loans to be restructured;

Tallahassee | Tampa | Washington, D.C. | West Palm Beach

RESPONSE:

Past due, transitional, special mention and adversely classified
loans are monitored on a regular basis. Loans are identified to be restructured when signs of impairment arise such as borrower
interest rate reduction request, slowness to pay, or when an inability to repay becomes evident. The terms being offered are evaluated
to determine if they are more liberal than those that would be indicated by policy or industry standards for similar, untroubled
credits. In those situations where the terms or the interest rates are considered to be more favorable than industry standards
or the current underwriting guidelines of the Company’s banking subsidiaries, the loan is classified as a TDR.

    ·
    The total amount of loans classified as TDRs at each period end separately identifying, by loan type, both those on accrual and non-accrual status, as well as any associated charge-offs during the period and any valuation allowance at period end;

RESPONSE:

The Company requires a full and comprehensive review of the
borrower’s financial condition and capacity for repayment, realistic assessment of collateral values and the assessment of
risk entered into in any workout agreement. Current financial information on the borrower, guarantor, and underlying collateral
is analyzed to determine if it supports the ultimate collection of principal and interest. For commercial loans, the cash flows
are analyzed, both for the underlying project and globally. For consumer loans, updated salary, credit history and cash flow information
is obtained. Current market conditions are also considered. Following a full analysis, the determination of the appropriate loan
structure is made.

    ·
A discussion of how you determine whether the borrower has demonstrated repayment performance with modified terms. Specifically disclose how many payments the borrower needs to make before returning a loan to accrual status; and

RESPONSE:

In instances where the loan has been placed on nonaccrual, six
consecutive months of timely payments are required prior to returning the loan to accrual status.

    ·
A roll forward of your TDRs for each period presented that will allow for an understanding of the gross movements within these balances at period end, including asset sales such as that in the quarter ended September 30, 2013 or loans that are otherwise removed from TDR classification. To the extent that restructured loans are removed from TDR classification for reasons other than the aforementioned asset sale, please provide us with an analysis that supports your determination to remove these loans.

Note 14. Income Taxes, page 74

    2.
We note your disclosure on page 75 there was no valuation allowance for deferred tax assets at December 31, 2013 and 2012 as management believes that it is more likely than not that all of the deferred tax assets will be realized because they were supported by the expected generation of a sufficient level of future taxable income from operations and tax planning strategies. We also note your disclosure on page 19 describing your understanding that the determination of whether or not a valuation allowance is necessary is difficult and requires judgment, particularly when there is significant negative evidence such as recurring net losses in prior periods and an accumulated deficit. Please provide us with a robust analysis detailing both the positive and negative evidence considered, and how each piece of evidence was weighted, to overcome the significant negative evidence, and in particular the fact that you were in a three year cumulative loss position of approximately $33.9 million at December 31, 2013, in determining that there was no valuation allowance necessary as of December 31, 2013.

RESPONSE:

The Company performed a detailed and deliberate analysis about
the future realization of all deferred tax assets (“DTA”) as of December 31, 2013. The following summarizes both the
qualitative and quantitative analysis performed by the Company:

While the Company reported GAAP losses of $897 thousand and
$1.7 million for the years ended December 31, 2011 and 2010, respectively, the Company had consolidated taxable income of $1.8
million and $5.8 million for the years ended December 31, 2011 and 2010, respectively. As of December 31, 2013, the Company had
only experienced two consecutive years of losses for tax reporting purposes.

Strategic decisions made by management during 2012 and 2013
had significant accounting implications that negatively affected near term operating results for both GAAP and income tax reporting
purposes. During 2013, the Company sold certain assets, comprised predominately of non-performing loans, during the third quarter
of 2013 (the “Asset Sale”). This resulted in a loss of approximately $20 million that was reflected through higher
provision for credit losses. The decision to enter into the Asset Sale was a strategic decision to reduce troubled assets and to
position the Company for a return to profitability in the immediate future. The positive effects of the Asset Sale were evidenced
by reported fourth quarter 2013 GAAP pre-tax earnings of $1.8 million. If the Asset Sale had not occurred in 2013, management believes
the Company would have reported pre-tax earnings of $3.7 million for the year ended December 31, 2013 but the ongoing negative
effects of the maintaining and managing the troubled and often non-performing assets would have continued to exert downward pressure
on earnings for future periods.

Notes to Co nsolidated Financial Statements
Note 1. Summary of Significant Accounting Policies – Loans, page 56

1. Please provide us with and revise future filings to include the following as it relates to your
troubled debt restructurings (TDRs):

 A description of h ow you identify loans to be restructured ;

 The total amount of loans classified as TDRs at each period end separately identifying ,
by loan type, both those on accrual and non -accrual status , as well as any associated
charge -offs during the period and any valu ation allowance at period end;

 For all TDRs that accrue interest at the time the loan is restructured, a description of how
you determine that the loan has been restructured so as to be reasonably assured of
repayment and performance according to the modi fied terms , and is supported by a
current, well -documented credit assessment of the borrower’s financial condition and
prospects for repayment under the revised terms ;

 A discussion of h ow you determine whether the borrower has demonstrated repayment
performance with modifi ed terms. Specifically disclose how many payments the
borrower needs to make before returning a loan to accrual status ; and

 A roll forward of your TDRs for each period presented that will allow for an
understanding of the gross movements within these balances at period end, including
asset sales such as that in the quarter ended September 30, 2013 or loans that are
otherwise removed from TDR classification. To the extent that restructured loans are
removed from TDR classificatio n for reasons other than the aforementioned asset sale,
please provide us with an analysis that supports your determination to remove these
loans.

Note 14. Income Taxes, page 74

2. We note your disclosure on page 75 there was no valuation allowance for defe rred tax assets
at December 31, 2013 and 2012 as management believe s that it is more likely than not that
all of the deferred tax assets will be realized because they were supported by the expected
generation of a sufficient level of future taxable income from operations and tax planning
strategies. We also note your disclosure on page 19 describing your understanding that the
determination of whether or not a valuation allowance is necessary is difficult and requires
judgment, particularly when there is s ignificant negative evidence such as recurring net
losses in prior periods and an accumulated deficit. Please provide us with a robust analysis
detailing both the positive and negative evidence considered, and how each piece of evidence
was weighted, to o vercome the significant negative evidence, and in particular the fact that
you were in a three year cumulative loss position of approximately $33.9 million at
December 31, 2013, in determining the that there was no valuation allowance necessary as of
Decem ber 31, 2013.

3. As a related matter, please expand your disclosures in future filings, beginning with your
Form 10 -Q for the quarterly period ended September 30, 2014, to discuss any uncertainties
surrounding realization of the deferred tax asset and the m aterial assumptions underlying
your determination that the net asset will be realized. If the asset’s realization is dependent on
material improvements over present levels of consolidated pre -tax income, material changes
in the present relationship between income reported for financial and tax purposes, any
additional planned material asset sales or other non -routine transactions, you should provide
a description of these assumed future events, quantified to the extent practicable. For
example, consider dis closing the minimum annualized rate at which taxable income must

increase during the tax NOL carry forward periods if realization of the benefit is dependent
on taxable income higher than currently reported. Also, if significant objective negative
evidence indicates uncertainty regarding realization of the deferred asset, identify the
countervailing positive evidence relied upon in your decision not to establish a valuation
allowance against the asset.

Exhibits 31.1 and 31.2

4. We note that paragraphs 2, 3, 4 and 5 of your certifications included as Exhibits 31.1 and
31.2 to the Fo rm 10 -K contain modifications to the exact form of the certification as set forth
in Item 601(b)(31) of Regulation S -K. For example, the certifications include references to
the “a nnual report” rather than referring to only the “report”. In future filings , please ensure
that the certifications are in the exact form as set forth in Item 601(b)(31) of Regulation S -K,
except as otherwise indicated in Commission statements or staff int erpretations.

    Ladies
and Gentlemen:

This letter responds to the July 30,
2009 comment letter from the Staff (the “Staff”) of the Securities and Exchange
Commission (the “Commission”) with respect to the above-captioned
matters. As we discussed with the Staff during our telephone
conversations, the purpose of this letter is to furnish the Staff with the
proposed responses by Shore Bancshares, Inc. (the “Company”, “we”, “us” and
“our”) to each of the Staff’s comments so that any additional concerns may be
addressed before we further amend our Quarterly Report on Form 10-Q for the
quarter ended March 31, 2009.

Each of the Staff’s comments, as well
as our proposed response, is set forth below.

    Comment
1. We note the disclosure that loans to related persons were
made on substantially the same terms as those prevailing at the time for
comparable transactions with other persons. Please confirm, and
revise future filings to disclose, if accurate, that the loans were made on
substantially the same terms, including interest rates and collateral, as those
prevailing at the time for comparable loans with persons not related to
the lender. Refer to Instruction 4.c to Item 404(a) of
Regulation S-K.

    Response: Our
proxy statement disclosure provided as follows: “[d]uring the past
year Talbot Bank, Centreville National Bank, and Felton Bank have had banking
transactions in the ordinary course of their businesses with their directors and
officers and with the associates of such persons on substantially the same
terms, including interest rates, collateral, and repayment terms on loans, as
those prevailing at the same time for comparable transactions with
others.” Our use of the term “others” was intended as a reference to
unrelated persons. We will use the words “with persons unrelated to
our bank subsidiaries” in future filings. We hereby confirm the
accuracy of that statement, as applied to persons unrelated to our bank
subsidiaries and as of the time it was made.

    Comment
2. Please revise to provide the disclosure required by
paragraph 26 of SFAS 154 regarding your recent correction of an
error. Please more clearly discuss the nature of the error and
provide a tabular reconciliation of the amounts involved before and after the
correction. Clearly label the columns affected on the face of the
financial statements as Restated.

    Response: We
propose to further amend the Form 10-Q for the quarter ended March 31, 2009 to
add the following Note 11 to the consolidated financial statements required by
paragraph 26 of SFAS 154.

    Note
11. Restatement of Financial Information

    On July
2, 2009, the Company reported that the Board of Directors had determined to
restate its earnings results for the quarter ended March 31,
2009. The restatement resulted in an increase in the allowance for
credit losses of $1.023 million and a resulting decrease in net income of $665
thousand. The error, which was discovered during an examination of
The Felton Bank by the FDIC, related to a failure to recognize the full losses
on certain collateral dependent loans pursuant to SFAS No. 114 in the Bank’s
allowance calculation at March 31, 2009. The loans involved in the
error are primarily loans secured by 1-4 family or commercial real estate and/or
business assets of the borrowers. One loan totaling $224 thousand was
on nonaccrual at March 31, 2009, while all of the remaining loans were current
or less than 90 days past due at March 31, 2009.

    The
identification of the error did not result in any change to the methodology for
determining the allowance for credit losses although management has implemented
additional controls to prevent such an error from occurring in the
future. In addition, management reviewed the March 31, 2009 allowance
calculations of each of the bank subsidiaries and discussed the error with
management at each bank to determine that such error did not exist outside of
the Felton Bank at March 31, 2009.

    The
following table summarizes the impact of the restatement on the Company’s
consolidated balance sheet, consolidated statement of income, consolidated
statement of changes in stockholders equity and consolidated statement of cash
flows as of and for the three months ended March 31, 2009 (in thousands, except
per share amounts).

    Comment
3(a). Please identify the regulatory agency involved in the
identification of the error.

    Response: We
have identified the regulatory agency in our proposed Note 11 in response to
Comment 2.

    Comment
3(b). More clearly discuss the loans involved, including their
type, payment status, accrual status, nature of collateral, and your methodology
for determining the related allowance.

    Response: We
have discussed the loans involved and the methodology for determining the
related allowance in our proposed Note 11 in response to Comment 2.

    Comment
3(c): Discuss any changes made to your methodology in
determining the allowance for these loans as a result of the
examination.

    Response: The
Company’s methodology for determining the adequacy of the allowance for credit
losses has not changed as a result of the error. See information
included in our proposed Note 11 in response to Comment 2.

    Comment
3(d): You note that the error was detected in connection with
one of your bank subsidiaries. Disclose how you determined that the
nature of the error would not be applicable to the similar loans held by that
bank or your other bank subsidiaries.

    Response: We
have discussed the fact that this error did not affect other loans of the bank
or loans held by our other bank subsidiaries in our proposed Note 11 in response
to Comment 2.

    Comment
3(e): Please tell us and consider revising you Form 10-Q as
amended for March 31, 2009 as well as your Form 10-Q for June 30, 2009 to
disclose whether you had a material weakness in your internal control over
financial reporting relating to the error.

    Response: Management
did not become aware of the error until June 23, 2009. The error
resulted because certain of the policies and procedures for evaluating and
recording loans that make up our internal control over financial reporting were
not correctly followed or applied by employees of The Felton Bank with respect
to the identified loans at the time our interim financial statements were being
prepared.

    After
considering the facts and circumstances surrounding the error, management
believes that the failure of management to detect the improper application of
the policies and procedures to which we are subject constituted a material
weakness in our internal control over financial reporting as of March 31,
2009. Management has taken steps to ensure, to the extent reasonably
possible, that such an error does not re-occur and we have disclosed these steps
in Item 4 of Part I of our Quarterly Report on Form 10-Q that was filed with the
Commission with respect for the quarter ended June 30, 2009.

    With
respect to the Staff’s suggestion that we disclose in our quarterly reports,
including the Quarterly Report on Form 10-Q, as amended, for the quarter ended
March 31, 2009, how we considered whether we had a material weakness in internal
control over financial reporting relating to the error, we respectfully believe,
for the reasons set forth below, that such disclosure is neither warranted nor
required, especially considering the disclosure that we propose to make pursuant
to Comment 3(f) (see below).

    In Final
Rule Release 33-8328 (June 5, 2003) (the “Release”), the Securities and Exchange
Commission (the “Commission”) specifically provided that the “rules [adopted
under the Sarbanes-Oxley Act of 2002] do not require a company to state the
conclusions of the certifying officers regarding the effectiveness of the
company’s internal control over financial reporting as of a particular date on a
quarterly basis as proposed[.]” Release, Item II(F)(3). In
reaching this conclusion, the Commission recognized that such an evaluation
should be performed “over a period of time that is adequate for [management] to
determinate whether, as of the end of the company’s fiscal year, the design and
operation of the company’s internal control over financial reporting are
effective[,]” such that, as required by the rules, management’s evaluation may
be presented in the Annual Report on Form 10-K. See id., Item
II(C)(3).

    Disclosure
regarding whether we had a material weakness in internal control over financial
reporting, and how we considered whether we had such a material weakness, is
disclosure about the effectiveness of our internal control over financial
reporting, and we believe that the most appropriate place for such a disclosure
is our Annual Reports on Form 10-K.

    Disclosure
in a Quarterly Report on Form 10-Q with respect to internal control over
financial reporting is limited to a discussion, in Item 4 of Part II (and not in
Item 2 of Part I), of management’s evaluation of “any change in the company’s
internal control over financial reporting that occurred during a fiscal quarter
that has materially affected, or is reasonably likely to materially affect, the
company’s internal control over financial reporting.” This
fact/requirement is borne out by paragraph 4(e) and paragraph 5(a) of the
Section 302 certifications to the report that are required from the chief
executive officer and the principal accounting officer.

    There was
no change in our internal control over financial reporting during the quarter
ended March 31, 2009 that materially affected, or was reasonably likely to
materially affect, our internal control over financial reporting.

    Comment
3(f). Please tell us and consider revising your Form 10-Q as
amended for March 31, 2009 as well as your Form 10-Q for June 30, 2009 to
disclose how the certifying officers were able to conclude that your disclosure
controls and procedures were effective in light of the identification of the
error that resulted in the restatement of your financial
statements.

    Response: We
propose to further amend the Form 10-Q, as amended, for the quarter ended March
31, 2009 by revising Item 4 of Part I to read as follows:

    Item 4. Controls and
Procedures.

    We
maintain disclosure controls and procedures that are designed to ensure that
information required to be disclosed in the reports that Shore Bancshares, Inc.
files under the Securities Exchange Act of 1934 with the SEC, such as this
Quarterly Report, is recorded, processed, summarized and reported within the
time periods specified in those rules and forms, and that such information is
accumulated and communicated to management, including Shore Bancshares, Inc.’s
Chief Executive Officer (“CEO”) and the Principal Accounting Officer (“PAO”), as
appropriate, to allow for timely decisions regarding required
disclosure. A control system, no matter how well conceived and
operated, can provide only reasonable, not absolute, assurance that the
objectives of the control system are met. Further, the design of a control
system must reflect the fact that there are resource constraints, and the
benefits of controls must be considered relative to their
costs. These inherent limitations include the realities that
judgments in decision-making can be faulty, and that breakdowns can occur
because of simple error or mistake. Additionally, controls can be
circumvented by the individual acts of some persons, by collusion of two or more
people, or by management override of the control. The design of any
system of controls also is based in part upon certain assumptions about the
likelihood of future events, and there can be no assurance that any design will
succeed in achieving its stated goals under all potential future conditions;
over time, controls may become inadequate because of changes in conditions, or
the degree of compliance with the policies or procedures may
deteriorate.

    Prior to
May 11, 2009, an evaluation of the effectiveness of these disclosure controls as
of March 31, 2009 was carried out under the supervision and with the
participation of management, including the CEO and the PAO. Based on
that evaluation, management, including the CEO and the PAO, concluded that our
disclosure controls and procedures were, in fact, effective at the reasonable
assurance level. As discussed in the Explanatory Note to this report
and in Note 11 to the financial statements presented herein, however, management
subsequently became aware that The Felton Bank’s calculation of the allowance
for credit los

      (Note
5, Loans and Allowance for Credit Losses, Page 46.) Please revise to disclose
the interest income that would have been recognized had your nonaccrual loans
been performing according to their original terms. Refer to Instruction 2 to
Item III.C.1 of Industry Guide 3.

    Response:
      In
future filings, Note 5 will be revised to include a disclosure of the amount
      of
interest income that would have been recognized if the loans had been performing
in accordance with their original terms in accordance with Instruction 2 to
      Item
III.C.1 of Industry Guide 3. Using the 2006 Form 10-K as an example, our
proposed revised disclosure is to add a sentence after the third table contained
      in Note 5 as follows:

    Gross
interest income that would have been recorded in 2006 if non-accrual loans
      and
leases had been current and, in accordance with their original terms, was
$139,999, while interest actually recorded on such loans was $0.

      (Note 6.
Premise and Equipment, page 46.) Please revise Note 1 to disclose your method
      of
accounting used to record the sale-leaseback transaction. Additionally, please
disclose the terms and conditions of the sale, to include the sales price and
loan terms, if applicable. Refer to paragraphs 7-8 and 17 of SFAS
      98.

    Response:
      In
future filings requiring such disclosure, Note 1 will be revised to disclose
      the
method of accounting used to record the referenced sale-leaseback transaction.
Using the 2006 Form 10-K as an example, our proposed revision to Note 6 is
      to
replace the existing disclosure regarding the sale-leaseback transaction with
      the following:

    Sale
      leaseback transaction

    On
      June
14, 2005, the Company entered into a sale-leaseback agreement with First Oxford
Corporation. Pursuant to the agreement, the Company conveyed title to the land,
including buildings, structures and other improvements of its banking facility
in Felton, Delaware on September 23, 2005 for $950,000. The Company has leased
back the facility for a period of 20 years. The gain on the transaction was
$175,993. In accordance with the provisions of sale-leaseback accounting, the
transaction was considered a normal leaseback and the realized gain was deferred
and will be amortized to other income on a straight-line basis over the initial
      lease term.

    Rental
expense under the agreement was $75,725 and $30,253 for 2006 and 2005,
      respectively.

        Comment #4:
        (Note
13, Stock Option Plans, page 49.) Please revise to disclose the total intrinsic
value of options exercised during 2004 and total fair value of shares vested
during each of the three years ended December 31, 2006, 2005, 2004. Refer
        to
        paragraph A240(c)(2) of SFAS 123(R).

    Response:
      In
future filings, Note 13 will be revised to include the total fair value of
shares vested for each of the three years covered by the report in accordance
with paragraph A240(c)(2) of SFAS 123(R). We note that future filings will
      not
require the disclosure of total intrinsic value of options exercised during
2004, but we will include intrinsic value information for all relevant periods
in future reports. Using the 2006 Form 10-K as an example, our proposed revision
      to Note 13 is to:

    (i)
replace the original intrinsic value discussion with: "The total intrinsic
value of stock options exercised during the years ended December 31, 2006,
      2005
      and 2004 was $813,882, $352,826 and $676,560, respectively."; and

    (ii)
      add:
"The total fair value of shares vested during the years ended December 31,
      2006,
      2005 and 2004 was approximately $29,500, $39,000, and $53,000,
      respectively."

      Comment #5:
      (Note 23
Quarterly Financial Results, page 57.) The quarterly data presented for basic
earnings per common share and diluted earnings per common share varies from
      the
quarterly amounts previously reported in Forms 10-Q for each quarterly period
      in
2005, and for the quarter ended March 31, 2006. Please revise to provide the
disclosures required by Item 302(a)(2) of Regulation S-K for differences not
      attributable to your stock split.

    Response:
      In
future filings, Note 23 will be revised to reconcile differences in basic and
diluted earnings per share disclosed in previous Quarterly Reports to account
for our stock dividend in the form of a stock split. We note that, for the
periods reported in the 2006 Form 10-K, there are no differences between basic
earnings per common share and diluted earnings per common share that are not
attributable to the stock split. Using the 2006 Form 10-K as an example, our
proposed revised Note 23 is as follows:
